判 決 書

1.  引言

1.1  於2024年9月13日,本席頒下判決書,駁回債務人 (申請人) (“該判決”) 根據《公司條例》第 480(1) 條 (“該條例”) 作出的申請 (“該申請”)[1],即尋求法庭許可申請人以德華的一名董事行事。法庭於2023年7月11日針對申請人作出破產令。該條例訂明:

“ 身為未獲解除破產的破產人的人,不得擔任任何公司的董事,或直接或間接參與或關涉任何公司的管理,但如該人獲裁定他破產的原訟法庭許可,則屬例外。”

1.2  判決書§1.3指出,該申請是基於申請人擬針對小額錢債審裁處於2023年12月12日駁回德華的申索的裁決提出上訴。

1.3  判決書§3.6指出,法庭在處理該申請的時候如何行使其酌情權缺乏本地已判案例提供指引。署長援引Adams v Australian Securities and Investment Commission [2003] FCA 557 一案並以英語作出陳詞協助法庭。本席以英語撰寫判決書,並在判決書4.2提出,若申請人需要把判決書翻譯成中文,他可先向法庭書記主任聯絡以安排法庭傳譯主任翻譯判決書。

1.4  申請人並沒有根據判決書§4.2安排法庭傳譯主任翻譯判決書,但多次要求法庭書記提供判決書中文譯本。舉例,申請人於2024年10月12日去信法庭書記闡述其立場:

“… 我要的是法官閣下的中文判詞一天收不到我的中文判詞我就一天都不接受英文判詞以上訴,請法官閣下能盡快/寫上給我英文判詞的中文譯本,以免耽誤我上訴時效…”

1.5  為免與申請人繼續爭拗,法庭其後向申請人提供了判決書的中文譯本。

1.6  於2024年11月19日,申請人就該判決申請延展上訴期限 (“本申請”)。

1.7  就本申請,申請人依賴於2024年11月18日宣誓的誓詞。在該誓詞中,申請人只提及上文 §§1.3-1.4闡述的事項,並沒有說明其上訴理據。因此,本席於2025年1月6日的聆訊押後本申請至2025年1月24日,並命令申請人於2025年1月17日或之前向法庭提供其上訴理據。

2.  本申請

2.1  《高等法院規則》第59號命令,第15條規則訂明:

“ 在不損害上訴法庭或單一名法官根據第3號命令第5條規則延展或縮短本命令的任何條文所訂明的時限的權力下,根據第4條規則送達上訴通知書或根據第14(3)條規則單方面提出申請的時限,可由下級法庭應在該時限屆滿前或後提出的申請而予以延展或縮短。”

2.2  處理延展申請時,法庭應考慮延誤了多少時間,造成延誤的原因,上訴的成功機會,及批准逾期上訴將會對訴訟另一方造成的損害。若法庭認為延誤重大及並非完全情有可原 (substantial and not wholly excusable),申請方必須顯示有真確勝訴機會而並不是合理勝訴機會 (real prospect of success on the merits, not merely a reasonable prospect of success): Wilmes Franz Josef v Coroner, West Kowloon Court[2022] HKCA 949 §§2及16。

2.3  本席認為本申請牽涉延誤是重大及並非完全情有可原。申請人並沒有根據判決書 §4.2安排法庭傳譯主任翻譯判決書,但頑固地堅持法庭一定要根據其意願提供判決書的中文譯本。無論如何,不論適用的門檻為真確勝訴機會或合理勝訴機會,申請人提出的上訴理據並不能達到相關的勝訴機會。

2.4  判決書第二部分及 §§3.7-3.8指出,由於該申請的唯一目的是為德華針對小額錢債審裁處駁回德華的申索的裁決提出上訴, 若果上訴並沒有理據時,法庭不應行駛其酌情權批准申請人根據該條例擔任德華的董事:

“[2.4] The more pertinent issue which the learned Adjudicator dealt with was the Defendant’s application to dismiss Tak Wah’s claim pursuant to Section 25 of the Small Claims Tribunal Ordinance Cap 388 (“SCTO”).

[2.5] I have perused the transcripts of the Hearing. Having considered the materials before him, including the submissions made by the Applicant, the learned Adjudicator concluded that Tak Wah’s claim was not within the jurisdiction of the Tribunal. Section 5 of the SCTO provides that the Tribunal shall have jurisdiction to hear and determine the claims specified in the Schedule of SCTO. The Schedule, in turn, provides that the jurisdiction of the Tribunal includes ‘Any monetary claim founded in contract, quasi-contract or tort where the amount claimed is not more than $75,000, whether on balance of account or otherwise’.

[2.6] As the learned Adjudicator concluded that Tak Wah’s claim was not founded in contract, quasi‑contract or tort, he dismissed Tak Wah’s claim pursuant to Section 25 of the SCTO.

[3.7] It seems to me axiomatic that the burden is on the Applicant to justify the Application. Where, as here, the Application is premised specifically and only upon the Purpose, it seems to me that an assessment of the Purpose would inform on how the court’s discretion is to be exercised.

[3.8] Under Section 28(1)(a) of the SCTO, Tak Wah may only appeal on a ground involving a question of law alone. In my view, the learned Adjudicator’s reasons for (1) concluding that the Tak Wah’s claim is not founded on contract, quasi-contract or tort and is therefore not within the jurisdiction of the Small Claims Tribunal and (2) consequently dismissing Tak Wah’s claim appear to me to be correct and the Applicant has not sought to persuade me otherwise.

[3.9] Where the Purpose is, as here, illusory or futile, it seems to me that that is a weighty factor against the exercise of my discretion to grant leave under Section 480(1) of the CO.” (強調後加)

2.5  判決書 §2.2指出,德華在小額錢債審裁處的申索是基於其指稱稅局局長無權利用欠交過去的費用作為不發出商業登記證的理由,由於德華沒獲發商業登記證,德華申索作為項目經理及公司秘書合共港幣$75,000的入息損失。

2.6  在本申請中,申請人首次提出德華的申索是建基於債項或服務費,因此小額錢債審裁處具有聆訊及裁定德華的申索的司法管轄權:

“ 商業登記署說我欠 [過去的費用],可不可以說是債項?… 商業登記署提供商業登記證服務,我要接受就付款及履行規定,我可否理解付款就是付商業登記署提供商業登記證的服務費?”

2.7  本席不接受申請人的陳詞。德華的申索明顯不是建基於債項或服務費。再者,德華指稱商業登記署無權利用欠交過去的費用作為不發出商業登記證的理由,申請人理應透過司法覆核程序尋求濟助。在張國華 v 香港馬會獎劵有限公司[2018] HKCFI 232一案,陳嘉信法官作出以下觀察:

“ [9] 在本案中,審裁官運用了香港法例第338章《小額錢債審裁處條例》第 25條所賦予之權力,頒令剔除申索人之申索。審裁官視本案申索為瑣碎無聊或無理纏繞之申索。

[10] 就此方面,審裁官在「判決理由書」第10段及第11段有以下說法:—

‘ 10. 根據陸法官的判決,馬會是可以基於《獎劵規例》第 2.16條訂下之60日內領獎時限而拒絕向張先生[申索人]發放派彩。因此,若果張先生在本案繼續在小額錢債審裁處以合約法基礎向馬會申索,本席認為他沒有任何勝算機會。

11. 假若張先生希望質疑《獎劵規例》第2.16條的公平性及有否違反立例的原意,這屬於公法範疇,張先生可考慮申請司法覆核,小額錢債審裁處沒有司法管轄權。’

[13] 本席認為 ,明顯地申索人擬提出的上訴理由已被審裁官在其「判決理由書」第10及第11段處理 (見上文第10段) 。本席認為,在應用有關的法律原則上,審裁官沒有犯錯。” (強調後加)

2.8  基於以上原因,本席認為申請人就德華針對小額錢債審裁處的上訴並沒有勝訴機會,亦由於申請人希望作為德華的一名董事行事的唯一目的是不切實際或徒勞無功,本席認為申請人提出的上訴理據並不能達到相關的勝訴機會,尤其本申請是牽涉針對本席行駛酌情權的上訴。

3.  總結

3.1  本席撤銷本申請,並不作出任何訟費命令。

3.2  以上訟費命令為暫准命令。本席並沒有忽略呈請人要求申請人支付2025年1月6日聆訊的訟費。但由於呈請人對本申請立場中立,並獲批准豁免出席2025年1月24日的聆訊,本席認為不作任何訟費命令是公平的選項。

1.  在本案中,華先生是破產人;律政司司長是債權人。華先生在2024年9月23日發出傳票,申請就聆案官黃建棠(下稱「聆案官」)於2023年7月21日駁回他的廢止破產令申請(下稱「該命令」)延期提出上訴(下稱「本申請」)。

2.  華先生並於2024年9月23日作出一份宗教式誓章(下稱「該誓章」)及於2024年11月25日作出另一份宗教式誓章,以支持本申請。

3.  華先生在是次聆訊中親自行事,律政司司長則由方律師代表。

4.  本席首先交代本申請的背景事實。

5.  在2023年3月6日,債權人存檔破產呈請(下稱「該破產呈請」),申請法庭向華先生頒布破產令。該破產呈請的債務基礎是華先生拖欠法律援助署在兩宗案件中一共超過港幣14萬元的訟費連利息(下稱「該債務」)。

6.  在2023年5月2日該破產呈請的第一次聆訊前,華先生向法庭傳真病假紙。聆案官押後處理該破產呈請。

7.  在2023年5月16日該破產呈請的第二次聆訊前,華先生再向法庭傳真病假紙。聆案官陳大為再次押後處理該破產呈請。

8.  在2023年6月13日該破產呈請的第三次聆訊前,華先生再以傳真信件方式通知法庭,以需要時間尋求法律諮詢及染上新冠肺炎為其延期申請的理由。聆案官作出命令:(1)押後至2023年7月11日下午3:30舉行第四次聆訊;及(2)除非華先生在2023年7月11日下午3:30或之前,存檔及送達詳盡的醫療證明或報告,而該詳盡的醫療證明或報告必須明確解釋他不能出席上述2023年7月11日的第四次押後聆訊的原因;否則他將被視為無故缺席,法庭會繼續進行審訊,包括對他頒布破產令。

9.  在2023年7月11日,華先生依然缺席該破產呈請的聆訊。法庭並沒有收到華先生任何傳真或消息,聆案官認為華先生無故缺席,法庭決定繼續進行審訊,最後向華先生頒布破產令(下稱「該破產令」)。

10.  在2023年7月21日,華先生向法庭申請廢止該破產令(下稱「該廢止申請」)。聆案官於2023年12月8日審理該廢止申請,並於2024年1月12日以書面判決及理由書作出該命令,駁回該廢止申請,命令華先生個人須支付律政司及破產管理署的訟費,經簡易評估為分別為港幣$10,000及港幣$5000。

11.  方律師援引有關陳子來的事宜(未經彙編,HCB 8632/2006, 9.4.2009)案例,以解釋法庭在是否行使酌情權延展提出上訴的期限會考慮的因素。

12.  有關的考慮因素有以下四個:

(1) 延誤了多少的時間;

(2) 延誤的原因;

(3) 擬提出上訴的成功機會;及

(4) 延期對訴訟其他各方所帶來的損害。

延誤時間

13.  根據《破產條例》第6章第98(2)條,任何人均可就法院或司法常務官的任何命令而向上訴法庭上訴。上訴通知書須於《高等法院規則》(第4章附屬法例A)第59號命令第4(1)(b)條規則所指明的針對在破產事宜中作出的命令上訴的時限內送達。

14.  根據《高等法院規則》(第4章附屬條例A)第59號命令第4(1)(b)條規則:

「(1) 隨本規則另有規定外,上訴通知書必須在下述限期內,根據第3(5)條規則送達 -

……

(b) 如屬針對就……破產事宜作出的判決、命令或決定的上訴的情況)該判決、命令或決定的日期起計的28天」

15.  該命令是在2024年1月12日作出的,根據上述規則,華先生就該命令提出上訴限期於2024年2月9日屆滿。

16.  故此,華先生的申請遲了超過七個月。這個延誤屬於十分嚴重。

延誤的原因

17.  在該誓章中,華先生嘗試解釋為什麼他在限期屆滿七個多月後才作出本申請。華先生只有展示他和屯門醫院及醫院管理局公眾投訴委員會交涉的文件。當中見到華先生曾於2023年6月12日到屯門診所求診,但就當日發出醫療報告的醫生始終只是指出華先生在2023年5月染上新冠肺炎後仍然有咳嗽、流鼻水、肌肉痛及健忘等症狀。華先生不滿醫生紙上沒有記錄當日醫生向他表示他有腦霧的情況。

18.  這些資料和華先生延誤了七個多月才作出本申請根本沒有實質關係。在這七個多月內,華先生沒有作出他打算上訴該命令的任何表示。再者,即使華先生須要蒐集更充分的醫學證明,華先生也可以在限期內先提出上訴。

19.  本席不認為華先生有一個合理的延誤解釋。

擬提出上訴的成功機會

20.  在判決及理由書中,聆案官交代了他不接納該廢止申請的理由。聆案官考慮到華先生是否有合理的機會反對該破產令及華先生提出他缺席聆訊的理由。首先聆案官認為華先生所提供的醫療報告不足以證明他在聆訊當天是因為受到腦霧的影響而忘記出席該聆訊。另外,聆案官認為該債務的申索並不受《時限條例》影響,而無可置疑的是華先生沒有償還該債務或提出償還該債務的任何方案。

21.  在本申請中,華先生只是堅持他在聆訊當天是因為腦霧而缺席聆訊,並抱怨債權人不肯和他商討還款問題。

22.   本席認同聆案官的分析,在他席前的證供,根本不能證明華先生是因為任何醫學問題而導致他不能出席聆訊。更重要的是華先生並不能就該債務提出任何有效的反對理由。至於債權人是否願意和他和解就更是無關宏旨,債權人沒有責任和他商討和解。聆案官接納該破產呈請的決定是絕對正確的,該廢止申請是必須給駁回的。

23.  在聆訊中,華先生重覆地指出他其實是有能力以分期付款的方式清還該債務的。本席認為這是清楚顯示華先生不爭議該債務及他仍沒有清還該債務。聆案官的決定是絕對正確的。

24.  故此,本席認為華先生所擬提出的上訴並沒有任何合理的勝訴機會。

延期對債權人的損害

25.  方律師指出破產令頒布至今已有十六個月,對債務人而言應該早有了結。有關的債務已分別被拖欠九年及四年之久。任何延期只會對債務人就追討該債務的行動進一步拖延,這對債務人十分不利及不公平。本席同意方律師的陳詞,華先生也沒有任何回應。

26.  基於上述分析及原因,本席認為並沒有基礎行使酌情權批准華先生逾期上訴的申請。本申請必須被駁回。

27.  華先生必須支付律政司司長一方的訟費。方律師呈上一份訟費陳述書,要求訟費的總額為港幣$22,037。本席認為方律師處理本案文件的時間及準備聆訊的時間有下調的空間。經簡易評定後,本席港幣$16,000是為一個合適的數額。

28.  本席現頒下一個暫准訟費令,華先生須支付律政司司長經簡易評定的港幣$16,000的訟費。若果雙方沒有在二十一天內以傳票提出申請更改這暫准訟費令,這暫准訟費令將成為絕對命令。

29.  最後本席感謝方律師的陳詞。

DECISION

1.  Introduction

1.1  A bankruptcy order was made against the Applicant on 11 July 2023.

1.2  This is my decision on the Applicant’s application dated 22 April 2024 (“Application”) for an order under Section 480(1) of the Companies Ordinance Cap 622 (“CO”). It provides:

“ A person who is an undischarged bankrupt must not act as director of, or directly or indirectly take part or be concerned in the management of, a company, except with the leave of the Court by which the person was adjudged bankrupt.”

1.3  By the Application, the Applicant seeks leave to act as a director of Tak Wah Building Works Ltd (“Tak Wah”), but only for the purpose (“Purpose”) of representing Tak Wah in an intended appeal against the dismissal of Tak Wah’s claim in the Small Claims Tribunal (SCTC 22471/2022) (“SC Proceedings”) on 12 December 2023.

1.4  At the hearing, the Applicant appeared in person. The attendance of the Official Receiver (“OR”) was excused[1]. By a letter dated 6 June 2024, the OR informed the court that she takes a neutral position on the Application and would leave to the court as to the appropriate order to be made in the circumstances of the present case. However, the OR has helpfully provided her observations[2] to assist the court.

2.  The SC Proceedings

2.1  The SC Proceedings were commenced by Tak Wah’s Form 2 filed on 5 August 2022. The Defendant named was the Commissioner of Inland Revenue (“CIR”). The SC Proceedings were commenced before Applicant was made bankrupt.

2.2  According to the Form 2:

(1)  Tak Wah was incorporated in March 2008 but was dormant between 2010 to 2022;

(2)  In April or May 2022, Tak Wah applied for a business registration certificate, but was told by a letter from the Inland Revenue Department dated 16 May 2022 that Tak Wah’s application was not acceptable for the reason that it had to settle outstanding business registration fees for the years 2012 to 2022 in the total sum of HK$13,150 (“Past Fees”);

(3)  The lack of a business registration certificate prevented Tak Wah from carrying on any profit-making activities;

(4)  It is Tak Wah’s case that the CIR (1) had no power to use the Past Fees as a reason not to issue a business registration certificate and (2) did not act in accordance with Section 7(3) of the Business Registration Ordinance Cap 310[3]; and

(5)  As a result, Tak Wah claimed loss of income as a project manager and a company secretary in the sum of HK$75,000 (ie the jurisdiction limit of the Small Claims Tribunal).

2.3  At the hearing on 12 December 2023 (“Hearing”), the learned Adjudicator dealt with a number of issues. One of the issues dealt with was whether the Applicant could represent Tak Wah, as the learned Adjudicator had been informed prior to the Hearing by the OR that a bankruptcy order had been made against the Applicant and the Applicant therefore could no longer act as Tak Wah’s director. Notwithstanding his agreement with the OR’s position, the learned Adjudicator took into account the submissions made by the Applicant for Tak Wah on the substantive issues.

2.4  The more pertinent issue which the learned Adjudicator dealt with was the Defendant’s application to dismiss Tak Wah’s claim pursuant to Section 25 of the Small Claims Tribunal Ordinance Cap 388 (“SCTO”)[4].

2.5  I have perused the transcripts of the Hearing. Having considered the materials before him, including the submissions made by the Applicant, the learned Adjudicator concluded that Tak Wah’s claim was not within the jurisdiction of the Tribunal. Section 5 of the SCTO provides that the Tribunal shall have jurisdiction to hear and determine the claims specified in the Schedule of SCTO. The Schedule, in turn, provides that the jurisdiction of the Tribunal includes “Any monetary claim founded in contract, quasi-contract or tort where the amount claimed is not more than $75,000, whether on balance of account or otherwise”.

2.6  As the learned Adjudicator concluded that Tak Wah’s claim was not founded in contract, quasi-contract or tort, he dismissed Tak Wah’s claim pursuant to Section 25 of the SCTO.

3.  The Application

3.1  The Applicant has filed 2 affidavits, respectively dated 12 April and 2 May 2024. The Applicant’s evidence does not seek to demonstrate that Tak Wah’s intended appeal is meritorious such that leave ought to be granted.

3.2  The OR makes the following observations.

3.3  First, she is of the view that the Application should be made by way of an originating summons instead of, as here, a summons. I am prepared to deal with the Application substantively despite the apparent procedural irregularity.

3.4  Secondly, the OR refers to Adams v Australian Securities and Investment Commission [2003] FCA 557. In that case, the applicant was convicted under section 86A of the Crimes Act 1914 and was disqualified under Corporations Act 2001 from managing corporations. An application was made under section 206G(1) of the Corporations Act 2001 for leave for him to manage 5 named corporations. It may be immediately pointed out that the applicant in Adams became disqualified from managing corporations as he was convicted of an offence involving dishonesty. The OR refers to Adams §8 which sets out the following propositions:

(1)  The applicant bears the onus of establishing that the court should make an exception to the legislative policy underlying the prohibition;

(2)  The legislative policy is one of protecting the public, not one of punishing the offender;

(3)  An objective is to deter others from engaging in conduct of the particular kind in question;

(4)  A further objective is the more general one of deterring others from abusing the corporate structure to the disadvantage of investors, shareholders and others dealing with a company;

(5)  The prohibition itself contemplates that there will be hardship to the offender. Therefore, hardship to the offender alone is not a persuasive ground for the granting of leave;

(6)  The court in exercising its discretion will have regard to the nature of the offence of which the applicant has been convicted, the nature of his involvement, and the general character of the applicant, including his conduct in the intervening period since he was removed from the board and from management. Where the applicant seeks leave to become a director and to take part in the management of particular companies the court will consider the structure of those companies, the nature of their businesses and the interests of their shareholders, creditors and employees. One matter to be considered will be the assessment of any risks to those persons or to the public which may appear to be involved in the applicant's assuming positions on the board or in management.

3.5  In my view, Adams is not very apposite to the present case since (1) it has not been suggested by the OR that the Applicant was convicted of an offence involving dishonesty and (2) where, as here, Tak Wah does not carry on any or any meaningful business and the Purpose is limited to pursuing the intended appeal, it seems to me that there is little, if any, concern of the need to protect the public. As noted at §1.4 above, were the OR of the opinion that the Application is contrary to the public interest, she is required to oppose the Application.

3.6  I think Adams was referred to by the OR because there appears to be a dearth of decided cases to provide guidance on how the discretion under Section 480(1) is to be exercised.

3.7  It seems to me axiomatic that the burden is on the Applicant to justify the Application. Where, as here, the Application is premised specifically and only upon the Purpose, it seems to me that an assessment of the Purpose would inform on how the court’s discretion is to be exercised.

3.8  Under Section 28(1)(a) of the SCTO, Tak Wah may only appeal on a ground involving a question of law alone[5]. In my view, the learned Adjudicator’s reasons for (1) concluding that the Tak Wah’s claim is not founded on contract, quasi-contract or tort and is therefore not within the jurisdiction of the Small Claims Tribunal and (2) consequently dismissing Tak Wah’s claim appear to me to be correct and the Applicant has not sought to persuade me otherwise.

3.9  Where the Purpose is, as here, illusory or futile, it seems to me that that is a weighty factor against the exercise of my discretion to grant leave under Section 480(1) of the CO.

4.  Conclusion

4.1  For the above reasons, I dismiss the Application. I also make no order as to costs.

4.2  Should the Applicant require interpretation of this judgment into Chinese, he may approach my clerk to make prior appointment with a court interpreter for the same.

引言

1.  華德剛先生 (“華先生”) 提出申請,要求法庭廢止在2023年7月11日對他頒布的破產令和重新排期聆訊。

背景

2.  2023年3月6日,律政司入稟要求法院向華先生頒布破產令,原因是他在DCCJ 5022/2014 和HCMP 1976/2015兩件案件中,共欠法援署超過$140,000訟費連利息,在2022年1月21日刊登法定索債書的21天之後,仍未收到任何還款。

3.  2023年5月2日,案件第一次聆訊,華先生當天早上傳真病假紙通知法庭,他染上新冠肺炎,申請改期,本席批准。

4.  2023年5月16日,案件第二次聆訊,華先生在一天之前,再次傳真新冠肺炎病假紙給法庭申請延期,陳聆案官批准申請。

5.  2023年6月13日,案件第三次聆訊,期間,華先生在2023年6月5日及12日,又以傳真信件方式通知法庭,他需要尋求免費法律諮詢,和因新冠肺炎申請延期,本席批准,但下令:

“(1) …

(2) 除非債務人在2023年7月11日下午三時半或之前,存檔及送達“詳盡的醫療證明/報告”,而該“詳盡的醫療證明/報告”必須明確解釋他不能出席上述2023年7月11日的第四次押後聆訊的原因;否則,他將被視為“無故缺席”,法庭會繼續進行審訊,包括對他頒布“破產令”。

6.  2023年7月11日,案件第四次聆訊,華先生缺席,法庭未有收到他任何傳真/消息,律政司代表表示,申請破產文件辦妥多時,聆訊已押後多次,華先生從未償還任何款項,當天亦沒有按照法庭指示,存檔及送達“詳盡的醫療證明/報告”,所以應被視為“無故缺席” 和宣佈破產,本席經考慮後,同意律政司陳詞,向華先生 (以下改稱 “破產人”) 頒布破產令。

7.  翌日,破產人傳真法院表示,他忘記出庭並要求再次開庭,本席回覆解釋事情經過,並表示他可嘗試和律政司/破產管理署商議,但若未能達成協議,則要提出正式申請。

8.  之後,破產人在2023年7月21日提出上述廢止破產令申請。在有關支持誓章中,說:

(1)  因為感染新冠肺炎,腦霧影響,所以忘記出庭,不是故意的。

(2)  案件已過訴訟事效。

(3)  他沒說過不還款,只是無人與他商討。

(4)  他保留提供醫療報告“補漏”權利。

9.  就此,律政司在2023年11月30日遞交書面骨幹陳詞,表示反對,就以上(1) – (3)點,認為:

(1)  破產人多次缺席聆訊,而且亦沒有按法庭指示適時存檔及送達“詳盡的醫療證明/報告”。

(2)  根據香港法例第347章《時效條例》第4 (4)條,有關訟費及利息符合規定。

(3)  在申請破產令前後,律政司均要求破產人確認會否還款,但他只持“逃避”的態度,直至現在,破產人亦沒有提出任何還款建議,因此,並不相信他真誠的希望還款。

10.  2023年12月4日,破產管理署亦存檔報告,提出相類似意見,另外,亦就法庭應如何處理廢止申請的法律原則作出陳述和指出破產人申請其他程序上的不足[1]。

11.  2023年12月8日,本席處理破產人的申請,在與各方討論案情期間,破產人遞上一份“醫療報告” ,本席表示可押後案件,讓他有充足時間存檔和送達回應誓章,並正式遞交所有證據,包括該份醫療報告,但破產人拒絕,要求立即審理;就此,代表律政司的方律師和破產管理署的雷律師均表示,不反對法庭“直接”考慮“醫療報告”[2] ,因此,本席便聽取各方陳詞,之後,押後書面頒布判決及理由書。

討論

12.  就本案通用的法理,可從高等法院上訴庭案件Kam Hung Cheng v Bank of China (Hong Kong) Limited [2009]3 HKLRD 597中了解[3]為:

(a)  法院應先考慮,在有關時候,是否存在破產令不應頒布的原因。

(b)  如並無原因,法院無需考慮廢止申請;不過,即使確有原因,法院仍須行駛“酌情權”,看看應否廢止破產令。

(c)  在行駛“酌情權”時,法院須考慮債權人,債務人及公眾的權益,並且要記着廢止破產令是應在特殊的情況下作出。

(d)  申請廢止的人有舉證責任證明破產令不應頒布的原因。

(e)  如破產令是在破產人缺席情況下頒布,債務人 (即破產人) 須提出合理和可信的理由,解釋缺席原因。

(f)  另外,如破產令根本遲早都會頒布,法院亦應行駛酌情權不作廢止命令。

13.  引用上述法律原則於本申請,本席拒絕接受破產人提出的各項廢止破產令的理據。

14.  首先,本案中的破產令是在破產人缺席情況下頒布,但他未能提出合理和可信的理由。

(a)  破產人“補交”的所謂“醫療報告” ,不能證明他當天是受腦霧影響,所以忘記出席。有關報告只能證明他在2023年6月12日(不是頒布破產令的2023年7月11日)曾到過仁愛醫院,並“聲稱”和“報告”種種病徵,有關醫生並未如此斷症。

“Mr. WA, TAK KONG attended Yan Oi Clinic on 12/6/2023 afternoon.

The chief complaint was residual cough, sputum, runny nose and myalgia since alleged COVID infection in 5/2023. WA reported some forgetfulness since then as well.”

(b)  另外,破產人已是第四次缺席,之前三次,他均有在聆訊之前通知法庭缺席和解釋原因,為何正正在法院特別作出指示後,他又會“突然”忘記?對這個重要的日子,破產人是否應作出一些提醒自己當天聆訊的行為,例如:在手提電話,電腦或/及行事曆上,作出紀錄?

15.  第二,破產人亦未能提出破產令不應頒布的原因。

(a)  如方律師和曾律師指出,有關債項是由2015年11月12日的命令($20,000)和2020年6月30日的訟費評定證明書($75,645.99) ,再加上利息得出來的,符合《時效條例》第4(4)條中的12年時限規定,並無不妥。

(b)  至於破產人聲稱他未曾說過不還錢,只是沒有人與他商討的說法,本席認為是本末倒置,不足為信。欠債的是破產人,他有責任還錢,被追討後,他從未正面回應又或提出任何分期還款建議,即使在知悉本破產呈請提出後,只是多番申請押後聆訊,但從未償還過一分一毫,亦從無提出任何還款方案予法援署及/或律政司考慮。

(c)  從事件的發展經過和所有證據看來,在多半屬實的標準下,木席相信,即使法庭現在批准廢止申請,破產令根本遲早都會(再次)頒布。

結論

16.  本席因此撤銷破產人的申請。

17.  訟費方面,在考慮各方於聆訊時的陳述後,再下令破產人個人須支付律政司和破產管理署的訟費,經簡易評估分別為$10,000及$5,000。
