A.  引言

1.  本判案書需與2020年10月14日就着責任問題而頒布的判詞(「責任判詞」)一同閲讀,本判決書採用責任判詞所有簡稱。除另有聲明以外,以下所有法律條文都是指香港法例第619章《競爭條例》的。

2.  就着R1-R8,競委會申請以下濟助:

(1)  罰款;

(2)  禁止進行違反競爭法的行為;及

(3)  經20%扣減的訟費。

競委會不申請調查費。

3.  答辯人可分為以下兩大類:

(1) R1-R6:裝修承辦商身分,違反《競爭條例》第6條下的「第一行為守則」,訂立及執行樓層編配安排及價格協調安排。競委會要求審裁處用Competition Commission v W Hing Construction Co Ltd [2020] 2 HKLRD 1229(「永興案第3號」)的「四步法」訂定罰款。

(2)  R7-R8:「牽涉入」違反競爭守則的人,違反《條例》第91條,參與的方式從早期反競爭協議到執行。本港未有適用的懲罰先例。

4.  所有答辯人在不同的階段承認責任,並採取了合理行動,節省競委會的訟費開支和審裁處的時間。答辯人有各自的同意事實陳述書,本席謹記,某答辯人所承認的事實並不約束另一人。

5.  競委會存檔了梁永豪的誓章,但它並不約束R1,因為誓章表明是就著R2至R6的罰款申請而存檔的。不過R1接受競委會所稱的R1的銷售價值及2018年的營業額。

6.  爲方便讀者,本判詞結尾的附件列出了競委會對每個答辯人的罰款的提議,及審裁處的裁定,相關的承辦商及分判商同列一表。

B.  R1-R6罰款的法律原則

7.  永興案第3號 第46至75段列出了四步法,當中涵蓋《條例》第93(2) 條下必須考慮的事情,要點如下:

(1)  第一步要確定基礎金額,基礎金額由三個要素組成,即 (1) 銷售價值,(2) 嚴重性百分比,以及 (3) 持續期間乘數(第48至51段)。

(2)  第二步因應加重懲罰、求情和其他因素進行調整,《條例》第93(2)條列出了非全面性的因素(第52至59段)。

(3)  第三步應用條例第93(3)條規定的法定上限(第60至67段)。

(4)  第四步爲反映與競委會的合作而作扣減,並考慮無力支付的申辯(第68至75段)。

C.  第一步:基礎金額

8.  應用永興案第3號 第77段,相關答辯人的銷售價值並無爭議,見下文第15段的列表。

9.  為反映行為的嚴重性,審裁處會因應銷售價值而定出嚴重性百分比。審裁處的主任法官林雲浩指出,把嚴重性百分比定為17至30% 的幅度符合國際慣例,亦適用於香港。該案同樣涉及類似R1-R6的裝修承辦商價格協調安排及樓層編配安排的行為,林法官裁定嚴重性百分比為24%:永興案第3號,第50, 88-94段。

10.  根據Bellamy & Child, European Union Law of Competition, 8th ed, at §14.026:

“When determining the gravity of an infringement, regard must be given to a basket of factors, the nature and importance of which vary according to the type of infringement in question and the particular circumstances of the case. Such factors include:

(a)  the nature of the infringement;

(b)  the number and size of the undertaking or undertakings involved in the infringement;

(c)  the proportion of the market controlled by the undertaking or undertakings involved in the infringement within the EEA;

(d)  the situation of the market when the infringement was committed;

(e)  the volume and value of the goods or services in respect of which the infringement was committed;

(f)  the geographic scope of the infringement;

(g)  the precautions taken by an undertaking to prevent the infringement from being exposed;

(h)  the role played by an undertaking in the establishment of the infringement;

(i)  the profit which an undertaking was able to derive from the infringement; and

(j)  the threat that the infringement poses to the objectives of the European Union.

By contrast, the fact that an undertaking participated in an infringement for a short time only or that the intensity of its infringement may have varied over time does not reduce the gravity of its infringement.”

11.  換言之,審裁處須視乎情節而考慮一籃子的因素才決定嚴重性百分比,包括反競爭行為的性質、參與的業務實體的數目及規模、所佔的市場率、市場在反競爭行爲發生時的狀況丶銷售價值、反競爭行為發生的區域、業務實體為避免反競爭行為曝光而採取的措施、業務實體所扮演的角色、所得的利潤及反競爭行為對競爭法的目標所帶來的威脅。相對地,業務實體參與的時間短或者隨時間而更改其參與程度並不會減輕反競爭的嚴重性。

12.  應用本部的原則,本席同意競委會的陳詞:

(1)  樓層編配安排及價格協調安排屬於嚴重反競爭行為;

(2)  反競爭行為佔了相當大的市場份額,而且R1-R6的行為旨在並確實消除了他們之間的競爭,而他們是彼此最直接的競爭對手;及

(3)  該行為針對並影響了公共租賃屋邨的低收入租戶,並且是在不理會房委會明確警告不要「分餅仔」的情況下而作出的。

13.  競委會提議嚴重性百分比爲24%,但本席認爲應該訂為20%,原因如下:

(1)  本案所涉及反競爭的業務實體數目、所佔的市場份額、所涉伙數及銷售價值,均比永興案第三號 的爲少。

(2)  永興案第三號的答辯人在2,582伙中,裝修了867伙,佔33.6%市場份額。R1-R6 在1,508伙中,裝修了429伙,佔28%。兩宗案的差距不可謂輕微。

14.  爲反映相關行爲所涉時間,應定出持續期間乘數。反競爭行為發生在2017年6月至11月期間。出於與永興案第3號 第96段所述相同的原因,在本案的持續期間乘數應是1,沒有必要因反競爭行為只有五個月而按比例調低。

15.  基於上述原因,第一步的基礎金額計算如下:

D.  第二步:針對加重懲罰、求情和其他因素的調整

D1.  加重懲罰的因素

16.  競委會主張,有兩個加重因素,其中只有一個適用。

17.  首先,根據第93(2)(d)條,一個強制性考慮因素是審裁處先前是否裁定某答辯人已經違反了《條例》。儘管R5曾在永興案中被裁定違反《條例》,但出於務實的原因,競委會不尋求提高罰款,因為法定上限規定了對R5的罰款上限為372,078港元。

18.  第二,與永興案第3號 第101(2)段一樣,競委會認為,本案的反競爭行為反映了行業中長期廣泛存在的慣常做法:

(1)  繼永興案,競委會在審裁處提起執行訴訟CTEA 1/2018及本案,就房委會裝修承辦商制度下的項目追究類似的反競爭行為。

(2)  本案多名答辯人已經承認,反競爭行為反映了廣泛的行業慣常做法。

(3)  競委會依賴梁永豪的誓章來證明本案的情節在屋苑廣泛流行,但該誓章並沒有説明適用於R1。即使如此,審裁處也可以用司法知悉(judicial notice)採納該廣泛性為證據。

19.  競委會在永興案第3號並沒有邀請審裁處考慮廣泛性,但不保證以後不會(第101(2) 段)。在本案卻請求審裁處把R1-R6的罰款提高25%。與嚴重性百分比的情況一樣,這25%並不是根據科學計算,而只是一個廣泛的標準,以反映行為的嚴重性和可指責性,以收阻嚇作用。

20.  此外,針對R1和R6,競委會更要求再加15%的「特定阻嚇罰款」,以達致阻嚇目標,因爲R1和R6的生意規模較大。

21.  R1陳詞指,因廣泛性而提高罰款的考慮應納入第一步的嚴重性百分比之下,因爲第一步跟第二步有清楚的分界,第一步考慮答辯人(或某組答辯人)之間的共通點,第二步是針對個別答辯人的行爲。單一答辯人的行爲不能構成廣泛的局面,故此不能針對他一人而提高罰款。

22.  本席同意競委會因廣泛性而要求提高罰款的原因,亦同意R1對第一步和第二步的分界的陳詞,但認為,嚴重性百分比是考慮案件本身的嚴重性而定的,廣泛性卻是要考慮本案以外的因素或社會狀況而定的。

23.  以永興案及本案為例,嚴重性百分比分別是24%和20%。如廣泛性因素應納入第一步考慮,則採納國際慣例,嚴重性百分比可能變成30%,顯示廣泛性只分別帶來6%或10%的加重刑罰,未能充分反映在屋苑廣泛性地存在價格協調安排和樓層編配安排所帶來的禍害。

24.  基於第22-23段的原因,本席裁定廣泛性應屬第二步而非第一步的考慮。

25.  房委會轄下的屋苑遍佈港九新界和離島,而承辦商共有約223個。反競爭行為的廣泛性對屋苑用戶(特別是低收入家庭)造成傷害,對競爭法的實施也確是一種威脅,因此有必要提高懲罰。本席認為幅度是20%。

26.  不過,本席不打算在本案施行那20% 額外罰款。參考歐盟的做法:

“The fine may be increased on account of recidivism even where the previous infringements were in a different market, provided that the infringement is of a similar nature. The fine may also be increased even if no fine had been imposed for the earlier infringement; it follows that an immunity applicant can subsequently be held to be a recidivist. … A previous infringement decision may be taken into account notwithstanding that it remains subject to review by the EU Courts (or national courts in the case of findings of infringement by national competition authorities). While the Commission is not entitled to increase a fine for recidivism when the second infringement took place before the decision penalising the earlier infringement, it is entitled to do so where the first and second infringements are contemporaneous, and the greater part of the second infringement took place after the first decision.” Bellamy and Child, at §14.037.

27.  競委會雖在不同時間提起永興案、CTEA 1/2018及本案,但三案所涉的反競爭行為時期相近。在本案開展時,工程已完畢,R1-R6無法終止行為或作補救,也無先例可援。因此審裁處認爲應對R1-R6與永興案第3號的答辯人一視同仁。但這三件案之後所起訴的同類答辯人該再沒有這種優待了。

28.  關於15% 特定阻嚇罰款,競委會認爲《條例》下的罰則是要對反競爭的行爲收阻嚇作用:永興案第3號 ,第6-37段。用「合乎比例」爲測試,即使向R1和 R6加收15%特定阻嚇 罰款,整體還是未達法定上限。

29.  既然《條例》下的罰款已是爲收阻嚇作用,本席認爲如果要再提高罰款,必須有充分的理由。先考慮是否合乎比例是本末倒置的。況且,要用什麽來比較什麽?

30.  根據歐洲的Guidelines on the method of setting fines imposed pursuant to Article 23(2)(a) of Regulation No 1/2003:

“C.  Specific increase for deterrence

30.  The Commission will pay particular attention to the need to ensure that fines have a sufficiently deterrent effect; to that end, it may increase the fine to be imposed on undertakings which have a particularly large turnover beyond the sales of goods or services to which the infringement relates.

31.  The Commission will also take into account the need to increase the fine in order to exceed the amount of gains improperly made as a result of the infringement where it is possible to estimate that amount.”

31.  由此可見,若罰款未達到足夠的阻嚇作用,審裁處可:(1) 因爲業務實體在反競爭業務的銷售以外有重大的營業額;或 (2) 爲使罰款超出違法所得,而增添特定阻嚇罰款。

32.  本席認為歐洲這個做法不適用於本案,因爲從下文可見,依從四步法,罰款已能收阻嚇作用,而且超出違法所得。

33.  R1和R6確有很大的營業額。但R1對反競爭行為並不知情;R6只循慣常做法,最多只能收 $201,600為牌照佣金,不見得利潤過高,R1和R6的可責性不比其他分判的答辯人為高。本席看不出在本案有何理由施加那15%罰款。

34.  總的來說,本席認爲R1-R6沒有加重懲罰的因素。

D2.  求情理由

35.  R1提出五個求情理由:

(1)  R1對於反競爭的事實毫不知情,他根據《條例》承認責任只因它是一個業務實體的一份子。

(2)  R1從反競爭的事情中沒有得到任何經濟利益。

(3)  R1已經要求它的代表不要從事反競爭的行為,同時R1已採取行動去確保遵行競爭法。

(4)  R1同意了事實陳述書的內容。

(5)  根據永興案第3號 第103段,作為借出牌照的承辦商,R1應獲得三份一的扣減。

36.  關於第一個求情理由,R1主張,由於它是新加入房委會的裝修承辦商制度的,而安泰邨一期的工程也是R1唯一在該制度下獲得指派的工程,R1成爲慣常做法的受害者,R7是被告人,但鮑女士作為最應該承擔責任的人卻不是。

37.  本席接納R1不知情,但它不可算是受害人,這也非求情理由,因為不作為(下文第41-44段)是導致R1違法的原因。

38.  關於第二個求情理由,R1和R7之間在證據上是有衝突的。R7承認他跟R1以3:7 的方式分帳,不過這個協議並沒有書面證據。R1既不承認這分帳方式,也不承認R7是授權代表,更沒有通過第三方程序引入鮑女士的證據協助審裁處做判決,故此收益的70%歸誰並沒有令人信服的證據。競委會縱然對R1的説法存疑,且有强大的調查權,也未能找到R1在工程中有實質金錢利益的證據。由於R7的承認並不約束R1,疑點的利益歸R1,即R1沒有實質金錢收益。

39.  不過,R1解釋它借牌的目的是要留在房委會的裝修承辦商名單上及建立與鮑女士的合作關係。本席認爲那對R1本身已是利益,因爲商家不一定要求即時獲利,反而放眼長遠的收益。本席不接納第二個求情理由。

40.  關於第三個求情理由,採取足夠的步驟去遵行競爭法可以是求情理由:CMA’s guidance as to the appropriate amount of a penalty, 18 April 2018, at §2.19及註腳3。

41.  本席認爲,R1單在書面協議中要求鮑女士不要參與合謀定價的行爲並不足夠,因爲R1毫不知道她的底蘊,沒有與她合作的經驗、也沒有證據證明它曾向鮑女士瞭解她對合謀定價或其他競爭法的觀念有何認識。

42.  再者,R1稱,當它知悉有建築工程公司爲公共屋村住戶進行裝修工程而被起訴時(即永興案 ),它特意於2017年8月31日以書面形式,鄭重地再次提醒其代表,不能做出違反《條例》的協議或行爲。

43.  但本席認爲這毫不足夠,因爲R1當時沒有查究鮑女士有沒有違反《條例》或叫停違法的工程,而且當時已過了相關違法期(2017年6-11月)的一半了。

44.  對於遵行及防止違反競爭法,R1近乎不作為,本席不接納第三個求情因素。

45.  關於第四個求情理由,R1依賴Bellamy and Child, §14.053:

“Non-contestation or admission of facts in the statement of objections. While the Fining Guidelines do not mention the non-contestation or admission of facts as a possible mitigating factor, the Commission may, but is not required to, reduce a fine where the undertaking acknowledges the facts and admits its infringement.”

46.  R1聲稱「金光程序」[1] 對它造成一重額外負擔,就是要接受競委會的案情,沒有空間作出對事實的反對,R1主張它應額外得到5%的扣減。

47.  在英國,如果一間公司沒有就其反競爭行爲申請寬待,也沒有接受「快綫處理」,但後來作出對事實清楚的承認,它便可有10%扣減。如果除了事實,它也承認行爲違反競爭法,則可共有15% 扣減:Kier Group Plc v OFT [2011] CAT 3, at §64.

48.  本席相信R1不是指競委會逼使它承認非事實。程序上,承認責任不能沒有事實基礎。競委會早在提起申請的文件中已列出案情,如果答辯人不同意任何一部分,可以要求審裁處就該部分作出定奪。審裁處在決定懲罰時,仍會就答辯人承認事實的幅度而決定扣減。本席不認為第四個理由可獨立於第四步,故不在本步作扣減。

49.  關於第五個求情理由,三分一扣減是基於兩個考慮,即(a) 不能假設承辦商能夠從分判商收回其必須支付的罰款;(b) 反映答辯人在相關業務實體中發揮了部分作用是適當的。(此求情理由亦適用於有分判商的R3-R6。R3和R4的分判商/代表並非答辯人。)

50.  競委會已就永興案第3號給予這三分一扣減的決定提出上訴。競委會認爲:

(1)  沒有證據表明,R1(及R3-R6)曾試圖向各自的分判商尋求賠償,且如果他們選擇這樣做將不會成功。

(2)  R1(及R3-R6)僅在相關業務實體中發揮了部分作用的事實,顯然違反了其分別向房委會作出的不分判的承諾。因此,將答辯人的部分參與作為求情因素具有允許答辯人從其自身錯誤行為中獲益的效果。

(3)  因此競委會認爲不應該給予任何這方面的扣減。

51.  本席不同意競委會的陳詞。就著第(1)點,承辦商可能先看罰款是多少才決定是否向分判商追討,所以,前者有沒有在聆訊前追討分判商並不重要。即如R1,它已提起第三方程序要求鮑女士彌償,但該程序暫時擱置了,對審裁處瞭解他們的關係或決定罰款多少毫無幫助。

52.  就着第(2)點,借牌或分判本身並不違反競爭法,審裁處的角色不是要懲罰承辦商違反房委會的合約,而是懲罰他們在借牌/分判後的不作為,即是沒有遵行競爭法或防止反競爭的行為。

53.  不過本案跟永興案 最大不同之處,在於某些承辦商與其相關的分判商/代表均爲答辯人 – R1配R7/鮑女士、R5配R8、R6配R8,每一組其實是一個業務實體(這應是永興案第3號 在這個扣減用的意思),雖然R7和R8不是以業務實體身份被起訴的。R3與代表人十多年的關係顯示他們也是分判的關係。R4也有分判商。

54.  基礎金額是以承辦商作爲業務實體的銷售額而定的,但以平分收益的承辦商和分判商爲例,那銷售額其實是兩人合計的,所以罰款衹由承辦商承擔是不公平的。(永興案第3號 第103段)

55.  雖然大前題是反競爭人人有責,而且決定罰款不同於分擔民事賠償的責任,這無阻審裁處因應每個答辯人在每一組的實際參與程度而作出適當的(而非劃一三分一的)扣減。

56.  本席認爲,承辦商因應分判收益率可得最高50%的扣減。換句話說,完全分判、免費借牌、在競爭法下不作爲者如R1,不能期望免卻罰款。本席相信在本案後亦難再有承辦商可在競爭法下以不作爲作爲求情理由。

57.  沒有借牌或分判的承辦商,沒有這個扣減,因爲他們是獨佔收益的。

58.  基於第一個求情理由,本席信納R1並沒有違反競爭法的意圖,他被罰的基礎在於它在競爭法下的不作為。應用第53-56段,又受惠於R7的承認,R1可得30%扣減。

59.  關於R2-R6的求情理由,實際有沒有收到預定的回報沒有重要性,因為價格協調安排及樓層編配安排在協議當下已違法,即使實施的是分判商。

60.  R2、R3、R5(和R8)在他們的抗辯書和書面陳詞詳細解釋了房委會的承辦商制度的成立及如何在幾十年年以來帶給住戶良好的服務和社會價值。因每類型的單位面積和室內佈局都一樣,而工程的規範、品質、材料、人工、成本也一樣,屋苑的承辦商認爲住戶按面積做裝修的價錢應該是一樣的,這是為保障合理成本和利潤,不向住戶胡亂收費。

61.  本席認為,上段的描述,根本就是構成合謀定價的事實,不是求情理由。而他們聲稱,共用一個駐邨辦事處,有序地清除泥頭、分層派傳單、減輕成本,提供價廉物美的服務,不逼住戶選擇任何承辦商,不能減輕他們在競爭法下的責任。

62.  R2、R3、R5(和R8)提出的許多求情理由在永興案第3號中已被駁回:

(1)  R2、R3、R5、和R8在2020年9月11日信函中提出,反競爭行為事實上導致了有利於租戶的效率,永興案 的責任判詞 [2019] 3 HKLRD 46,第147至280段已駁回了該主張;

(2)  永興案第3號 第100段陳述,對租戶遭受的可量化損失未提出任何投訴不應被視為求情因素,因為經驗表明,該等反競爭行為導致工程量下降及價格上漲,導致資源配置不當,損害了消費者的利益;

(3)  永興案第3號 第107至108段 不認爲條例是新法律、或情節涉及分判商這些新論點可作爲求情因素,如本案一樣,答辯人已被房委會警告不要參與分餅仔;

(4)  永興案第3號 第109段認為,答辯人在裝修承辦商制度下的註冊狀態被吊銷或終止的事實不過表示答辯人在其他屋苑再違反第一行爲守則的風險低,故無需要特定的阻嚇,除此以外,那不是一個重要的求情因素;及

(5)  永興案第3號 第110段駁回了承擔競委會的訟費應被視為重大額外處罰或應被視爲罰款的一部分的主張。

63.  至於個別答辯人提及他們的收費低於套餐價,或在別的工程如何收費,都不能構成求情的理由。

64.  不過,本席不認為R2-R6是刻意犯法的,他們不過是依循多年的做法,一時間未能適應法律的改變。故此本案的「合謀」不是精良的設計,不用開會研討。正如R8所説,他們分配樓層後,一直都有把分配表給警方,一直到2017年。即使基於同意案情,房委會只是叮囑承辦商不要「分餅仔」,沒有證據證明房委會告訴承辦商訂立套餐價那廣泛行為可能構成合謀定價。

65.  總括而言,R2-R6沒有加重懲罰或求情理由,但應用上文第53-57段的原則,扣減如下:

(1)  R2沒有分判,沒有扣減;及

(2)  R3-R6與分判商平分利潤,或得到約為200,000港元的分判費用(似乎就是五乘分賬的利潤)[2],各人可得50%扣減。(註:在永興案第3號 第104及105段,第三及第四答辯人的分判商不是答辯人也得到三分一扣減)

66.  R6的陳詞進一步稱,它是一間較大規模的公司,法定上限已較規模細的答辯人為高,在責任相同的基礎上已要承擔較高的罰款,它尋求在公平及平等待遇的基礎上獲得與其他可能受惠於法定上限的答辯人相當的罰款水平。

67.  本席認爲這陳詞是出於對法定上限的不理解。但即使在公平的基礎上,本席也看不出R6的罰款爲何要調低,因為大家的不作爲和收益也相近。

68.  總結第二步調整後的金額如下:

E.  第三步:法定上限

69.  《條例》第93(3)(a)條規定,就構成單一項違反的行為而施加的罰款,「總額不得超過有關的業務實體在該項違反發生的每一年度的營業額的10%」。

70.  競委會只以承辦商的營業額計算法定上限,沒有納入分判商的營業額,大抵是因爲分判商是藉不同的條文被起訴的,不被視爲違反第一行爲守則的業務實體。營業額表列如下:

71.  R2及R4並沒有向競委會提供足夠的資料,以按照《競爭(營業額)規例》(第619C章) 的規定進行更準確的計算。

72.  根據R2所承認的事實,不存在分判安排。因此不清楚其營業額為何會大大低於其銷售價值。本席採用永興案第3號 第112段所載的方法,即是將其銷售價值當作營業額。

73.  R4也是營業額大大低於其銷售價值的。R4確認只收取了200,000港元的牌照佣金。但針對借牌的第一答辯人的陳詞,永興案第3號 第78段裁定違反競爭法的行為不是借出牌照,而是由單一業務實體,以承辦商的名義進行裝修,形式爲制定及執行套餐價和樓層編配安排,正確的焦點是須爲該反競爭行爲負責任的業務實體的銷售價值,並以此為營業額。

74.  就R1-R6,第三步金額表列如下:

因此,就R2而言,罰款不能超過法定上限。

F.  第四步:合作扣減及無力支付而致的扣減

75.  定出法定上限後才決定合作扣減,便可確定已届法定上限而又合作的答辯人仍可獲得實質的合作扣減:永興案第3號,第73(3)段。

76.  關於合作扣減:

(1)  根據競委會的《合作及和解政策》(2019年4月) (「政策」) 第3.7段所規定,如業務實體在競委會對其展開執法程序後,才與競委會合作,競委會可建議的最高合作扣減率為20%。

(2)  為了鼓勵和解,競委會通常會建議10%的扣減率(歐盟委員會:違反歐盟競爭法的罰款,2011年11月)。

(3)  競委會建議給予R4及R6 10%的扣減率,因為他們在提交答辯狀後已經表示願意儘快和解。

(4)  競委會建議給予R1、R2、R3、R5 5%的扣減率,因為他們僅在競委會已經準備好審訊必要的文件及證據後才同意與競委會和解。

77.  R1提議因爲同意事實而多給5%扣減。R4和R6則提議應用刑事法的標準,給他們三分一扣減。

78.  本席不認爲承認責任跟同意事實可以分爲兩個扣減因素,因爲單承認責任而不承認事實,無助於審裁處訂定罰款。

79.  另外, 本案不是刑事性質,故不採用刑事的量刑做法。因爲政策已預先發佈讓公眾知悉:肯與競委會合作的業務實體,可得的好處從豁免起訴(政策第2段)到展開執法程序後的最高合作扣減率20%(政策第3.7段,適用於本案),越早合作或承認責任,扣減越多。這個政策透明、扣減幅度明確,符合鼓勵和解的前提。政策雖不約束審裁處,但本席接納競委會在本案採用,這無阻審裁處將來在適當情況下增加或調低扣減率。

80.  R1聲稱一直跟競委會合作,提供資料,但R1是經過一輪反對使用金光程序、及加入鮑女士爲答辯人的申請失敗後,才於第二次案件管理聆訊後承認責任,比沒有律師代表的答辯人都遲。

81.  R1陳詞說,在金光案於2020年6月3日作出口頭判決,確定承認責任的程序後,R1已立即撤銷其反對申請。因此,R1認為它應該得到全數10%扣減。

82.  本席認爲,任何答辯人也可以在案件中作出適切的申請,只不過越遲承認責任,可得的扣減便可能會越少。在R1提出反對用金光 程序時,本席已即時告訴R1,那程序是適切的,而且處理民事案件的法官習慣與訟各方互相承認或反對對方某部分的案情,而某一答辯人承認的事實並不約束另一答辯人。事實上,實務指示CTPD1的第72段早已預計可用這程序。

83.  R1堅持反對用金光 程序的後果是帶來對其他答辯人的延誤(責任判詞第2段的註)。因此,R1不應和其他答辯人得到同等的扣減,而應只得5%。

84.  R4和R6一早承認責任,應得10%的合作扣減。

85.  R2、R3和R5一早已在抗辯書表達承認責任,所寫的案情已有反競爭行為的意味(如上文第60和61段),他們只是不知道也要同意案情,也不知道對於不同意的部分案情可以向競委會反建議別的事實。本席認爲,不應該因他們沒有律師代表而不明白法律程序,或堅持向審裁處披露準確的事實而延後簽同意案情,而否定他們本可得的扣減。因此,R2、R3和R5應各得 10% 扣減。

86.  至於因財務困難而需扣減的情況,那是一項特殊措施。如永興案第3號 第119至122段所述,相關答辯人有責任提供關於其財務狀況的清晰及全面的證據。

87.  在本案中,R2、R3及R5均沒有提供具有說服力的證據來證明他們無力支付而須扣減罰款,因此本席不作這方面的扣減。

88.  整體而言,R1-R6的罰款如下:

G.  R7及R8的罰款

89.  競委會陳詞稱,從第91條的措辭可以明顯看出,第91條可能涵蓋的情形範圍廣泛,涉及不同程度的參與或罪責。正如永興案第3號 第39段所指出的,香港的競爭法仍是新生事物。儘管有必要就違反第一行為守則定下明確的範圍,在罰款評估中必須提供適當程度的確定性、明確性和透明度,但試圖設計一種結構化的方法以涵蓋第91條規定的各種不同責任并不適切。例如,很難設計一種結構化的方法以處理試圖違反和與他人合謀違反之間的罪責差異。

90.  就R7而言,競委會建議罰款定爲110,000港元至170,000港元之間,然後建議給予10%的扣減率,因為R7較早時便表示希望與申請人達成和解(即實際金額在99,000港元至153,000港元之間)。這建議考慮到:

(1)  R7涉及嚴重反競爭行為(合謀定價及瓜分市場)的行為(明知涉及反競爭行為)的性質和範圍;

(2)  廣泛的行業慣例(R7承認的);

(3)  沒有任何令人信服的求情因素;

(4)  R7的「相關收入」為120,000港元, 每個月平均爲24,000港元,是一個管工的工資;

(5)  無具有說服力的證據證明其無力支付;

(6)  競委會提議R1的罰金原為1,475,435港元。R1本應獲得七乘利潤並且是一個擁有更多重要財務資源的實體;及

(7)  沒有理由就具體的阻嚇或損害/損失、再犯、相稱原則或無力支付而作出調整。

91.  就R8而言,競委會建議罰款定爲450,000港元至600,000港元之間,然後建議給予5%的扣減率,因為其表示希望與申請人達成和解(即實際金額在427,500港元至570,000港元之間)。建議是考慮到:

(1)  R8涉及嚴重反競爭行為的行為(明知而涉及反競爭行為的性質和範圍),且涉及不止一個而是兩個業務實體(R5和R6);

(2)  廣泛的行業慣例(這是獲得承認的);

(3)  沒有任何令人信服的求情因素;

(4)  R8的「相關收入」估計為1,194,165港元。這是基於其與R5和R6之間的50:50利潤分成安排,並假設其利潤率約為30%(永興案第3號 第106段);

(5)  R5和R6的建議罰金,原分別為353,000港元及1,176,000港元;及

(6)  沒有理由就具體的阻嚇或損害/損失、再犯、相稱原則或無力支付而作出調整。

92.  本席認爲本案的情節還是適合用四步法爲起點,因爲競委會雖藉不同條文起訴R7與R8 和R1-R6,但向這兩類答辯人施加罰款都是依據第93條的。

93.  這些分判商/代表人取代了承辦商在屋苑的角色,也是直接導致承辦商違反競爭法的人。他們的存在,令承辦商可以在借牌或分判後完全忽視自己在競爭法下的責任。而且承辦商與分判商/代表人也可以不經繁複的會議而達到編配市場或合謀定價的目的,並付諸實行。

94.  R7和R8更在本案擔當重要角色:

(1)  R7提醒單張不要用劃一套餐價,明顯是知道競爭法的存在,只是不知道如何行事才能正式避免違法而已。

(2)  R8負責設立電話通訊群組、訂立套餐價大約金額及安排印刷單張。他執意認爲樓層編配及共印單張派發,沒有逼住戶光顧任何承辦商或分判商,只會帶給住戶益處,忽視在競爭新法下客觀地分析慣常做法。所以,當兒子向R8指出後者可能有合謀定價的行爲時,R8極力要説服兒子相信R8而非改變方針。

95.  縱然如此,本席認爲R7和R8不過是沿用慣常做法,有默契地行事而已,他們不能算是主謀,也非刻意違法,而是因不瞭解法律而犯法。

96.  就R7而言,R1的基礎金額適用。在第二步,R7作爲業務實體的30%分判商應有70% 的扣減。他說工程收費低於套餐價,但那不是求情理由,他也沒有其他可接納的求情理由。競委會沒有提供R7的營業額,故第三步的法定上限應以銷售額$4,501,710的10%計算上限。在第四步,R7應有10% 的合作扣減。據此,R7的罰款應爲:

900,342 x 30% x 0.90 = 243,092港元


97.  這跟競委會的建議高出59%,而且相對於收取200,000港元或平分利潤的承辦商,罰款比起R7的得益相對地過高,本席調低至200,000港元。

98.  就R8而言,R5和R6 的基礎金額適用。在第二步,R8%應有50% 的扣減。同期向兩個承辦商借牌不是增加懲罰的理由,因爲他是爲整體六個承辦商而行動的,他沒有可接納的求情的理由。競委會沒有提供R8的營業額,因此他的營業額應以R5和R6合計的銷售額計算 (如R4的情況),即7,510,470港元,法定上限爲 751,047港元。R8應有10% 的合作扣減。據此,R8的罰款應爲:

(1)  關於R5的分判,罰款爲744,156 x 50% x 0.90 = 334,870港元;

(2)  關於R6的分判,罰款爲757,938 x 50% x 0.90 = 341,072港元;及

(3)  合共675,942港元,這跟競委會的建議高出11%,本席調低至600,000港元。

99.  就單一項違反的行爲: R1和R7;R5和R8;R6和R8都不超過第三步的法定上限。

100.  整體而言,各答辯人的罰款已大大超出他們在相關工程上的得益,符合阻嚇效果。

H.  分期付款

101.  本項的考慮與第四步沒有能力支付而要求減低罰款的要求不同。審裁處可以考慮罰款的金額、營業額及答辯人的可見收入等因素而決定給予分期。

102.  看來R2、R3、R5、R7及R8屬於相對小型的生意或個人業務,本案的銷售額是六個月的工程累積而來的。訴訟期間答辯人沒有得到房委會的工程,他們會如何被房委會處分,以後會否失去房委會的承辦商資格仍屬未知之素。R7是退休人士,須靠積蓄生活,而太太鮑女士亦面對第三方訴訟。R1、R4及R6沒有申請分期付款。

103.  本席酌情給予六個月分期付款,於2021年2月1日支付第一期,其後在每月第一日支付,同時把支付的證明文件副本給競委會以便跟進。

I.  禁制令

104.  競委會要求法庭頒下禁制令,禁止各答辯人違反《條例》。鑒於違法行為是廣泛的行業慣例,禁令是適當的,範圍僅限於房屋委員會的裝修承辦商制度下的項目。儘管許多答辯人聲稱他們的牌照已被吊銷,但沒有什麼可以阻止他們作為「持牌分判商」參與未來的項目。而且儘管一些答辯人願意在本案和解,但他們(如2020年9月11日信函所示)仍拒絕接受其反競爭行為的不當性。競委會認為在這種情況下,除非受到審裁處的禁制,否則R1-R8很可能就房委會的裝修承辦商制度下的其他項目從事同類型的反競爭行為。

105.  本席認為這不是適切的造法,因為相關的工程已全部完結,答辯人已沒有在同一屋苑再犯的可能。如果答辯人在新的工程再有違法的行為,競委會應該在新的案件中申請禁制令。

106.  亦因此,雖然R1願意向法庭保證不作違反競爭法的事,本席亦認為沒有此需要。

J.  訟費

107.  競委會與R1就着訟費達成如下協議:

(1)  競委會準備證人陳述書的訟費的1/6;

(2)  競委會準備與R1之間的同意傳票及同意事實的陳述書的訟費;

(3)  競委會在2020年12月2日的聆訊的訟費(包括大律師證書);

(4)  競委會其餘計至及包括第二次案件管理聆訊(2020年7月13日)的訟費的九分之一;及

(5)  所有訟費寬減20%。

108.  R1曾發出一個加入訴訟方及第三方的程序傳票,R1只申請2020年6月26日聆訊的訟費。本席認為競委會提出反對是有理由的,當日聆訊的三項申請中,R1只有一個成功。整體而言,本席認為應該不作訟費令。

109.  關於R2-R6,本席命令訟費如下:

(1)  競委會準備證人陳述書的訟費的1/6;

(2)  R2、R3、R4、R6、R7及R8應各自支付競委會就每名答辯人各自的同意傳訊(2020年8月20日或8月31日)的訟費,包括編制各自的同意事實陳述書的訟費,但不包含2020年10月14日的聆訊費用;

(3)  R5應支付一半競委會就着他與R9的同意傳訊(2020年8月31日)的訟費,包括編制他與R5的同意事實陳述書的訟費,但不包含2020年10月14日的聆訊費用;

(4)  R2-R8須各自支付競委會在2020年10月20日的聆訊(減去十分鐘)的訟費(包括大律師証書),其中只批准競委會收取文件冊內第1至11.3項的影印費。每人付八分之一;

(5)  R2-R8應各自支付競委會計至及包括第二次案件管理聆訊(2020年7月13日)的訟費的九分之一;及

(6)  所有訟費寬減20%。

110.  如競委會及個別答辯人未能達成一致意見,訟費的金額由司法常務官予以評定。

K.  總結

111.  本案應用了永興案第3號 的四步法,但在第二步,本席拒絕因廣泛性而扣減,因着每一組承辦商和分判商/代表人的實際分判率而作出最高的50%(不限於三分一)扣減。本席亦應用了四步法在分判商R7和R8身上。用四步法已令罰款大大超越借牌/分判收益,無須額外添加特定阻嚇罰款。此外在工程完結後才發出禁制令,是毫不適切的。

112.  本席命令如下:

(1)  答辯人須支付以下化爲整數的罰款:

(5)  按第107-110段作出訟費令。

判決書

1.  2020年10月14日,審裁處根據香港法例第619章《競爭條例》(「《條例》」)第102條,基於R9承認指控,裁定R9並不適合關涉公司的管理。

2.  在本聆訊中,競委會申請針對R9作出取消資格令,為期兩年。

相關法律

3.  根據《條例》第101條:

「(1) 在第102條指明的情況下,審裁處可應競委會提出的申請,針對某人作出取消資格令。

(2) 取消資格令是具有以下效力的命令:該命令所針對的人不得在無審裁處的許可下,在指明期間內 ——

(a) 擔任或繼續擔任公司董事;

(b) 擔任公司的清盤人或臨時清盤人;

(c) 擔任公司財產的接管人或管理人;或

(d) 不論直接或間接以任何方式,關涉或參與公司的發起、組成或管理,

而上述指明期間不得超過5年,自命令的日期起計。

(3) 在本條中 ——

指明 ( specified )指在取消資格令中指明。」

4.  《條例》第102條:

「審裁處只有在下述兩項條件均就某人而獲符合的情況下,方可針對該人作出取消資格令 ——

(a) 它裁定該人任職董事的公司已違反競爭守則;及

(b)   它認為該人作為董事的行為,使該人不適合關涉公司的管理。」

5.  《條例》第103條:

「(1) 為根據第102(b)條決定某人是否不適合關涉公司的管理,審裁處 ——

(a) 須顧及第(2)款是否適用於該人;及

(b) 可顧及該人作為公司董事在與其他違反競爭守則事件有關連的情況下的行為。

(2) 如 ——

(a) 某人作為公司董事的行為,有份造成違反競爭
守則;

(b) 某人作為公司董事的行為,無份造成違反競爭

守則,但該人有合理理由懷疑公司的行為構成違反競爭守則,卻沒有採取步驟防止該行為;或

(c) 某人作為公司董事雖不知道但理應知道公司的行為構成違反競爭守則,

則本款適用於該人。」(間線後加)

6.  《條例》第103(2) 條跟香港法例第571章《證券及期貨條例》第214(2)(d) 條及已廢除的第395章《證券(內幕交易)條例》第23(1)(a) 條類同。

7.  取消資格令的目的是保護性的(為保護股東、投資者及公眾),而非懲罰性的,還附帶有阻嚇的目的:Koon Wing Yee v Insider Dealing Tribunal (2008) 11 HKCFAR 170,第72至73段。

8.  罰則須反映行為的嚴重性,使商界人士獲得清晰的訊息,就是如果他們破壞別人對他們的信任,他們便會得到適切的懲罰。Securities & Futures Commission v Fung Chiu & ors [2009] 2 HKC 19, 第12段,關淑馨法官(當時官階):

“I bear in mind two important objectives in the exercise of this jurisdiction to make disqualification orders: firstly, protection of the public against the future conduct of persons whose past records as directors of listed companies have shown them to be a danger to those who have dealt with the companies, including creditors, shareholders, investors and consumers; and secondly, general deterrence in that the sentence must reflect the gravity of the conduct complained of so that members of the business community are given a clear message that if they break the trust reposed in them they will receive proper punishment.”

9.  在Aki John Pandelis Stamatis & anor v The Competition & Markets Authority[2019] EWHC 3318,兩名申請人曾任公司董事。那些公司其後被裁定違反競爭法,因此兩名申請人分別承諾在33個月及18個月內不再擔任董事。其後他們申請重新擔任董事的許可。英國的法庭重申,取消董事資格的條文同樣是以保護性為主要的目的(判詞第6及13段)。

10.  本席認為以上的原則也適用於《條例》下的取消資格令。

11.  在《證券及期貨條例》下,取消資格期分為三個等級 (概述於Securities & Futures Commission v Tong Shek Lun & ors[2020] HKCFI 435, 第26 段,夏利士法官)。但因應《條例》第101條,指明期的最長時間為5年,本席認爲可以作出以下的區分:

(1) 最高級別:取消期為4-5年,適用於情節嚴重的情況,例如明知故犯 (《條例》第103(2)(a)條)、重大參與、重犯、煽惑他人參與;

(2) 最低級別:取消期為兩年以下,適用於情節較輕微的情況;及

(3) 中間級別:取消期為2-3年,情節的嚴重性在兩個級別之間。

12.  競委會的陳詞建議最低級別適用於第103(2)(c) 條,而中間級別適用於第103(2)(b) 條。不過本席認爲不應作此區分,因爲第103(2) 條的本意不在分辨行爲的嚴重性而是發出取消資格令的適切性,而第(b)、(c) 款特意要求審裁處考慮董事對公司行爲的認知或不認知。 故例如在103(2)(b) 條下,一名董事可以在有合理理由懷疑違法的情況下,若依然故我,而受影響的人士衆多,也可以納入最高級別。

13.  本席補充:以上的分級衹是一般性指引,須視乎情節而靈活運用。除了違法情節的嚴重性,法庭會考慮一籃子的因素,例如:受影響的的股東和公衆的多寡和程度、該董事有沒有與其他違反競爭守則事件有關連的情況下的行爲(《條例》第103(1)(b)條)、他參與違法行為的程度與手法、有沒有私利、有沒有盡力阻止或糾正違法行為、有沒有承認法律責任、有沒有跟競委會合作或提供幫助 …… 等。這些並非概括性的因素,審裁處也無需當此爲項目清單,把因素逐一依次考慮,

分析

14.  R5(「聯合」)是Competition Commission v W Hing Construction Co Ltd [2019] 3 HKLRD 46(「永興案」)的第十答辯人,該案在2017年8月14日開展。R9在該案所涉及的工程時間及本案所涉的工程期間(即2017年6月至11月),均為聯合的董事,他作為聯合的董事而與其他違反競爭守則事件有關連:《條例》第103(1)(b) 條。

15.  此外,本席依賴2020年10月14日的判詞的事實基礎。基於其同意事實陳述書,本席信納R9個人並不直接知曉或有份造成違反第一行為守則的事情,但R9當時有合理理由懷疑聯合的行為構成違反第一行爲守則,因為代表聯合的R8在2017年3月8日已接受競委會的面見(永興案第60段),而聯合在本案的工程牌照在一個月後(2017年4月17日)才發出,及至永興案開展了,本案的工程仍未完結。然而R9並沒有採取任何步驟阻止或糾正違反競爭法的行為,他的情況屬《條例》第103(2)(b) 條。

16.  R8的陳詞提及,每次獲聯合分判工程,R9總會提醒R8不要犯法(例如不要聘用非法勞工等)。然而R9本身對競爭法也沒有足夠的認知,本席相信他不懂也沒有提醒R8不要觸犯競爭法。

17.  競委會在2017年藉永興案開始起訴第一批承辦商時,雖曾引起承辦商之間的重大關注,但競爭法尚新,當時實在沒有本地案例作參考。

18.  R9現年74歲,閱讀能力有限,只有一間有限公司,且是私人性質的,另一名董事是其兒子,兩人亦同為股東。

19.  整體而言,本席認為R9的情況屬於間中級別而偏低的嚴重性,競委會申請兩年取消資格令是適切的起點。

20.  然而本席考慮到以下的求情因素:

(1) R9從一開始便承認責任,節省競委會和審裁處的時間和訟費開支。

(2) 根據第101條而發出的取消令,應由命令之日計起。若非因R1曾經反對審裁處使用Re Carecraft Construction Co Ltd [1994] 1 WLR 172 的程序而引起延誤,及法庭因疫情需要而不能舉行聆訊,R9方面的申請其實可以更早獲得處理。

21.  因此,本席酌情將取消資格令的時間縮減兩個月。

總結

22.  本席根據《條例》第101條,針對R9而發出取消資格令,有效期為本命令的日期起計的一年零十個月,即是至2022年8月30日為止。

訟費

23.  R9已同意支付申請人的經評定訟費,然而:

(1) R9早已承認責任,本席重複上文第20(2)段,加上無律師代表人不熟悉承認案情的程序,因此R9不應支付競委會為準備證人陳述書而產生的訟費;

(2) 競委會所準備的文件冊大部份對罰則聆訊並沒有作用,因此本席只批准他們收取文件冊內第1至11.3項的影印費;及

(3) R9在罰則聆訊只佔用了10分鐘的時間作陳詞。

24.  在競爭法下,本案是第一件《條例》第101至103條下的罸則案件。因此,在訟費方面,本席酌情給予R9 20%訟費方面的寬免。日後再有同類案件,競委會應盡可能在「同意事實陳述書中」建議取消資格令的年期,將更節省時間和訟費。

25.  在上兩段的前題下,本席作出訟費的暫令:

(1) 除下文第(2)至第(5)段所涵蓋的訟費外,R9應支付競委會截至及包括2020年7月13日第二次案件管理會議聆訊的訴訟費的九分之一;

(2) R9應支付一半他與R5的同意傳票的訟費,包括編制他與R5的同意事實陳述書的訟費,但不包含2020年10月14日的聆訊費用;

(3) 本席只批准競委會準備文件冊第1至11.3項的費用,而R9負責九分之一;

(4) R9只須支付2020年10月20日的罰則聆訊的訟費(包括大律師的費用)的八分之一,但當日的聆訊時間只須負責十分鐘;

(5) 所有訟費寬減20%;及

(6) 如未能達成一致意見,訟費的金額由司法常務官予以評定。

除非任何一方在21天內申請更改暫令,否則訟費的暫令將於2020年11月20日後變為正式命令。

判決書

A. 引言

1.  2019年7月3日,競委會根據《香港法例第619章》《競爭條例》(《條例》)向九名答辯人(分別爲R1-R9)提出本案法律程序,指控他們在一個屋邨進行裝修工程時,編配市場及合謀定價,因此要求審裁處:

     就着R1-R6:

(1)    宣布R1-R6違反《條例》第6條下的第一行為守則(「第一行為守則」);

     就着R1-R8:

(2)    命令R1至R8支付評定罰款;

(3)    就着香港房屋委員會(「房委會」)裝修承辦商制度(「承辦商制度」)下的所有項目,命令R1至R8終止涉及任何反競爭行爲的協議或經協調做法,或終止協助、教唆、慫使或促致任何反競爭行爲,及/或停止明知而關涉任何反競爭行爲;

(4)    命令R1-R8支付調查相關答辯人行爲或事務的合理開支及附帶開支。

     就着R9:

(5)    作出命令宣佈取消R9的公司董事的資格。

2.  競委會和各答辯人在不同的日子同意通過《審裁處規則》第39規則,《審裁處實務指示1》第72段,並採用Competition Commission v Kam Kwong Engineering Co Ltd & ors[2020] HKCT 3 一案(「金光案」)爲期2020年7月17日的判決理由書中,第3及第17段所採用的簡易程序,提交各答辯人所承認的責任和事實方面的陳述書,為請求審裁處作出的命令提出事實根據。

3.  藉着下文C部所列的事實,R1至R6(合稱「承辦商」)承認彼此於2017年6月至11月(「相關期間」)曾訂立及執行編配市場和合謀定價協議,有反競爭的「目的」,違反第一行爲守則。R5、R7、R8及R9則承認於相關期間曾直接明知而關涉R1-R6之間的編配市場和合謀定價協議,因而「牽涉入」違反第一行爲守則,一如《條例》第91(d)條中所定義的。

4.  爲免判詞因附錄多份同意案情而變得冗長而重複,本席把案情綜合並撮要。但R1-R9在各別的同意事實陳述書中所作出的各項承認均對本案任何其他答辯人不具約束力,也無損他們在求情時依賴各自的同意案情書。

B.  法律原則

5.  《條例》第6條禁止反競爭的協議、經協調做法及決定:

「(1) 如某協議、經協調做法或業務實體組織的決定的目的或效果,是妨礙、限制或扭曲在香港的競爭,則任何業務實體 ——

(a)   不得訂立或執行該協議;

(b)   不得從事該經協調做法;或

(c)   不得作為該組織的成員,作出或執行該決定。

(2)  除文意另有所指外,如本條例的條文明訂為適用於協議或就協議而適用,該條文須解釋為在經必要的變通後,同樣適用於經協調做法及業務實體組織的決定,或就該等做法及決定而適用。

(3)  第(1)款施加的禁止,在本條例中稱為“第一行為守則”。」 (間線後加)

6.  根據《條例》第2(1)條:

「「協議」(agreement) 包括任何協議、安排、諒解、許諾或承諾,不論是明訂或隱含的、書面或口頭的,亦不論是否可藉法律程序予以強制執行或是否擬可藉法律程序予以強制執行的。

「業務實體」(undertaking) 指任何從事經濟活動的實體(不論其法定地位或獲取資金的方式),包括從事經濟活動的自然人。

「嚴重反競爭行為」(serious anti-competitive conduct) 指由任何以下行為或以下行為的任何組合構成的行為 ——

(a)    訂定、維持、調高或控制貨品或服務的供應
價格;

(b)    為生產或供應貨品或服務而編配銷售、地域、顧客或市場;

……。」

7.  根據《條例》第91條:

「在本部中,提述任何牽涉入違反某競爭守則的人,指作出以下作為的人 ——

(a) 企圖違反該守則;

(b) 協助、教唆、慫使或促致其他人違反該守則;

(c) 不論是以威脅、許諾或其他方式,誘使任何其他人違反該守則,或企圖如此行事;

(d) 直接或間接以任何方式,明知而關涉違反該守則,或成為違反該守則的一分子;或

(e) 與任何其他人串謀違反該守則。」 (間線後加)

8.  根據《條例》第92(1)條:

「競委會如在進行該會認為適當的調查後,有合理因由相信 ——

(a)  某人已違反競爭守則;或

(b)  某人已牽涉入違反競爭守則,

而該會認為向審裁處申請向該人施加罰款是適當的,該會可提出該申請。」

9.  根據《條例》第94(1)條:

「審裁處如信納某人已違反或牽涉入違反競爭守則,可主動或應為此目的而提出的申請,針對該人作出它認為適當的命令(不論它有否根據第93條作出施加罰款的命令),包括附表3指明的所有或任何命令。」

而審裁處據附表3可作的命令包括 (a) 宣布某人已違反競爭守則,及(b) 禁制或禁止某人從事構成該項違反的行為,或牽涉入該項違反。

10.  根據《條例》第96條,審裁處可命令違反競爭守則的人向特區政府支付競委會調查的合理開支。

11.  根據《條例》第101條:

「(1) 在第102條指明的情況下,審裁處可應競委會提出的申請,針對某人作出取消資格令。

(2) 取消資格令是具有以下效力的命令:該命令所針對的人不得在無審裁處的許可下,在指明期間內 ——

(a) 擔任或繼續擔任公司董事;

……

而上述指明期間不得超過5年,自命令的日期起計。」(間線後加)

12.  根據《條例》第102條:

「審裁處只有在下述兩項條件均就某人而獲符合的情況下,方可針對該人作出取消資格令 ——

(a)  它裁定該人任職董事的公司已違反競爭守則;及

(b)  它認為該人作為董事的行為,使該人不適合關涉公司的管理。」

C.  背景事實

C1.  相關的屋邨

13.  安泰邨一期由明泰樓和智泰樓兩座住宅樓宇組成,均由房委會建造。

14.  明泰樓樓高31層,智泰樓樓高32層,每層約有24個單位(明泰樓1樓及2樓沒有12及13室)。明泰樓及智泰樓共有1,508個單位。

C2.  房委會及承辦商制度

15.  房委會是法定團體,致力為有住屋需求的低收入家庭提供可負擔的出租房屋,並幫助低至中收入家庭獲得資助自置居所。安泰邨一期是房委會相關措施的其中一個項目。

16.  在所有關鍵時刻,房委會管理一個承辦商制度,資助房屋。在承辦商制度下:

(1)  房委會備存一份「裝修承辦商參考名單」(「參考名單」),目的之一為透過防止非法元素(例如黑社會活動)滲入,以保障公屋租戶、居者有其屋計劃及綠表置居計劃業主的利益。承辦商必須符合一套已訂立的資格準則,才會獲列入參考名單,名列參考名單的承辦商必須遵守房委會的《裝修承辦商參考名單指引》。

(2)  就每個新屋邨而言,房委會從參考名單編配若干承辦商(「指定承辦商」),通常採用的比例為一個承辦商對250個住宅單位。

(3)  租戶/業主不會被限制選用指定承辦商進行裝修工程,且可在開放市場自由選用其他承辦商,或自行裝修。

(4)  指定承辦商為某租戶/業主所進行的任何裝修工程的範圍及價格,屬該指定承辦商與該租戶/業主之間的事。

(5)  指定承辦商並非房委會的代理人或代表,任何源自裝修工程的損失或損壞申索或爭議,由該指定承辦商與相關租戶/業主處理並解決。

17.  每個指定承辦商需獲得牌照,由房委會授權該指定承辦商進入屋邨並進行裝修工程。

18.  從各別答辯人同意的事實可知,他們於以下時間名列房委會的參考名單及獲發安泰邨一期的牌照的日期:

19.  根據以下各別答辯人所述:

(1)  R1並沒有述及他的代表如何成為代表。

(2)  R2在獲得牌照後,將安泰邨一期的所有事宜交給合夥人之兒子梁紹基處理。

(3)  R3在簽署房委會的牌照文件後,張棉(擁有人)便將R3在安泰邨一期的所有事宜交給周厚光處理。

(4)  R4把其於安泰邨一期之承辦商身份之權益轉移給其分判商丘少鵬先生,而R4並不會参與安泰邨一期之工作安排。

(5)  R5的董事張潤錦 (R9) 同意R8以安泰邨一期代理人的身份,管理R5的牌照及其於安泰邨一期的工程。

(6)  R6把其於安泰邨一期之承辦商身份之權益轉移給其分判商新明公司(由R8黃富新經營),而R6並不會参與安泰邨一期的工作安排。

(7)  R7約於2017年5月接觸R1,要求參與R1在安泰邨一期承接的工程。R7稱他及R1同意以3:7的比例,攤分安泰邨工程的利潤。(此點R1並沒有同意。)

(8)  R8分別與R5、R6同意平分安泰邨工程的利潤。

20.  承辦商獲准於2017年6月21日至2018年3月31日期間在智泰樓地下建立並佔用一所臨時駐邨辦公室,以在安泰邨一期各自經營業務。

21.  2017年6月27日,R2-R8在駐邨辦公室集合,進行傳統拜神儀式,慶祝工程開始。R7以R1代表的身份出席, R8 則以R5及R6代表的身份出席。

C4.  房委員會的簡介會

22.  2017年4月19日,房委會舉辦了簡介會(「簡介會」),R1, R3-R6的代表(包括R8)均出席。R2則出席了5月26日的簡介會。在簡介會上,房委會的人員向所有出席的承辦商及其代表作簡報,當中承辦商獲告知不可參與「分餅仔」。

23.  R1-R6亦曾與房委會簽署牌照/承諾,列出他們作為承辦商的條款,其中包括但不限於禁止在未得房委會事先同意前:(i) 轉移權利或利益;以及 (ii) 外判或分判任何工程。

24.  房委會於2017年6月29日開始,安排租戶接收單位的鑰匙。

C5.  樓層編配安排

25.  在2017年6月26日或之前,各承辦商的代表分別加入了一個名為「安泰一」的WhatsApp群組。而R8則為該WhatsApp群組的管理員。根據各別答辯人所承認的,R2的梁紹基、R3的周厚光、R4的分判商丘少鵬及R7均是該Whatsapp群組的成員, 而R8則代表R5和R6.

26.  在2017年6月26日,R8於該WhatsApp群組內發送訊息,顯示安泰邨一期的各個層數或單位分爲六組。

27.  該六組號碼其後在拜神儀式當日以抽籤形式編配予六個承辦商。每個承辦商均有派代表出席抽籤, R7以兼任R1代表的雙重身份代其抽籤,而R8同時代表R5及R6抽籤。

28.  抽籤的結果/彼此同意的編配方式如下:

29.  R1、R2、R3、R4、R6及R7同意,為確保承辦商之間不會積極競爭安泰邨一期的裝修工程,R1的代表(包括R7)、R2的代表(梁紹基)、R3的代表(周厚光)、R4的分判商丘少鵬先生及R8 (作爲R5及R6的代表) 訂立該樓層編配安排,他們同意參考租戶單位及樓層號碼,在他們之間編配安泰邨一期的潛在顧客。

30.  R5, R8, R9 也同意:

(1)  根據樓層編配安排,各答辯人同意不會「搶」不獲分配給自己的樓層/單位的裝修工程;

(2)  樓層編配安排被參考名單上的承辦商沿用多年,各承辦商分層管理及分層向住戶派發裝修套餐宣傳單;

(3)  各承辦商不會主動招攬並非分配給自己的樓層/單位的裝修工程;及

(4)  各承辦商不會主動派員工到並非分配給自己的樓層/單位去招攬單位的裝修工程。

31.  在業務運作期間、代表各承辦商行事的人均有準備多本記事簿(已被競委會檢取),内有根據樓層編配安排而列明的資料。

32.  執行方面,R1的代表(R7)招攬生意的對象,只限於R1獲編配的樓層。

33.  R2、R3、R4、R5、R6及R8均承認:

(1)  每當代表某承辦商行事的人:

(a) 遇到安泰邨一期的租戶跟其接觸;或

(b) 意圖向似是安泰邨一期租戶的人招攬生意,

     代表承辦商行事的人與其交涉前,會先確定有關單位或樓層。

(2)  如該租戶的單位或樓層已被編配予另一名承辦商,他們通常會拒絕接受該租戶的生意及/或指示該租戶去找該名事先編配的承辦商 [1][2]。

34.  R8作為R5和R6的代理/管理人,要求其銷售人員(均受聘於R8)根據樓層編配安排在安泰邨一期進行銷售。R8知悉但並沒有阻止R5和R6的銷售人員根據樓層編配安排在安泰邨一期進行銷售。

35.  R1-R8承認在相關期間,各承辦商根據樓層編配安排進行裝修,各承辦商裝修的單位總數如下:

除了其中5個單位外,各承辦商裝修的429個單位全部都是依循經協定的樓層編配方式。

36.  根據C5部所述的事宜,而R2-R8並無異議的是:

(1)  樓層編配安排屬於承辦商之間編配租戶(即顧客或潛在顧客)的市場編配及/或顧客編配安排。作出樓層編配安排的目的,是就安泰邨一期所提供的裝修工程,妨礙、限制或扭曲競爭,違反第一行爲守則。

(2)  樓層編配安排的行爲構成《條例》第2(1)條所指的「嚴重反競爭行爲」。

(3)  不過,R2及R3補充:他們雖然有參與樓層編配安排及下文的價格協調安排,但他們對有關《條例》並不清楚,並非存心違反《條例》,也從沒有想過要妨礙、限制或扭曲在香港的競爭。

C6.  價格協調安排

37.  於相關期間,R1-R6的代表和R7經協調當中的内容及價格而提供予安泰邨一期租戶劃一裝修套餐(「價格協調安排」),並進一步協議採購或製作用來宣傳該等劃一裝修服務套餐的中文單張(「單張」)。

38.  根據R5, R8, R9所述:

(1)  R8安排印刷公司為R1-R6印製各承辦商將會在安泰邨一期所使用的宣傳單張。R8根據參考名單上的承辦商沿用多年的行業慣例,承辦商各自的單張通常會包括下文第40(1)-(3)段的内容,並且列明就各單位所提供的每個基本套餐的套餐價(「套餐價」)。

2) 在2017年6月21日,代表R1的R7在WhatsApp群組發出了以下的訊息:

「黃新。套餐單吾可以一個價錢,要分開6個價錢,貴啲都要咁印」;

而R8 (即「黃新」) 同日亦在WhatsApp群組回覆R7:

「知道」;

其他承辦商的代表並沒有在該WhatsApp群組反對R7上述的建議。

(3)  R1至R6同意由R8決定各承辦商在單張上所列出的套餐價;R1至R6既知悉R8將會為各承辦商訂立的套餐價的大約金額,亦知悉R8將會使用不同的價錢作為各承辦商的套餐價。

(4)  最終R8按照R7的建議及沿用多年的行業慣例列印了涉案的六款單張。

(5) R1至R6或其代理人(包括R8)除知悉其公司的單張內容,亦知悉其他承辦商的單張內容。

39.  各答辯人的套餐價如下,當中稍有不同:

40.  R1-R8承認各承辦商均獲得一套單張,而承辦商各自的單張上的特點絕大部分一樣:

(1)  採用相同的排版及設計;

(2)  均列出10項相同的裝修項目;

(3)  除了最小的單位外,分別提供兩種標明為「套餐A」及「套餐B」的套餐,「套餐A」包括項目1至4,「套餐B」包括項目1至10;及

(4)  單張的排版及當中所載的工程項目,與觀塘安達邨一期(審裁處的執行訴訟2017年第2號中的相關屋邨)所提供的相同。

41.  R1、R3、R4及R6承認各承辦商至少曾在相關期間,訂立及/或執行價格協調安排:

(1)  承辦商共同協定單張的内容後,會用這些單張協助宣傳它們某些劃一套餐及它們的一般業務;

(2)  套餐價為所編配的承辦商首先採用及/或提出的價格。套餐價多次用作實際的成交價,及/或於單位租戶與承辦商磋商時,用作磋商裝修工程的價格及/或範圍的起點及/或既定的參考。(但是R2最終並沒有向其客戶收取套餐價。)

42.  R7作爲R1的代表:

(1)  曾提議承辦商不應就劃一套餐的套餐價訂定統一的價格,企圖隱瞞各承辦商作為競爭對手卻一同協定套餐價的事實;

(2)  用這些單張協助宣傳某些劃一套餐及它們的一般業務;及

(3)  首先對潛在顧客採用或提出套餐價。套餐價多次用作實際的成交價,及/或於單位租戶與承辦商磋商時,用作磋商裝修工程的價格及/或範圍的起點及/或既定的參考。

43.  R5, R8及R9承認,R1至R6在收到R8為他們所印製的單張後,於相關期間指示及安排了他們的員工:

(1)  使用該等單張協助宣傳其所屬答辯人之裝修業務及某些劃一裝修套餐價;及

(2)  使用宣傳單張上的套餐價作為首先提出的價格或用作和租戶洽談的參考價格。

44.  根據C6部所述,R1-R6承認違反第一行爲守則:

(1)  價格協調安排是承辦商為方便樓層編配安排而訂立的協議/經協調做法,以進一步令租戶(在已獲編配該單位或樓層的承辦商以外)降低尋找其他承辦商的意欲,從而方便進行編配安排;R2, R3, R4, R6, R7亦承認這是就某些劃一裝修套餐規限和限制各承辦商的價格競爭。

(2)  因此,價格協調安排 (i) 有可能影響最終成交價; 及 (ii) 讓承辦商能有合理程度的把握,並預料到彼此所奉行的定價政策。

(3)  R2-R6亦同意透過確保裝修套餐及套餐價營造出高度相似的感覺,這樣一旦潛在顧客跟獲編配其單位/樓層的承辦商接觸後,他們在各承辦商之間「格價比較」的意欲便會降低,將方便進行樓層編配安排。

(4)  價格協調安排構成《條例》第2(1) 條所指的「嚴重反競爭行爲」。

45.  整體來說,

(1)  R2-R8承認樓層編配安排連同價格協調安排構成一項整體的協議。而每次根據有關協議編配顧客及協調價格,是為求達到妨礙、限制或扭曲在香港的競爭這個共同目的;R7承認也是為求達到執行該整體協議/經協調做法的共同目的。

(2)  該行爲協議構成《條例》第2(1) 條所指的「嚴重反競爭行爲」,違反第一行爲守則。

D.  各別答辯人的參與情況

46.  雖然R1-R6本身並没有主動地參與任何嚴重反競爭行爲,但他們承認就本法律程序而言,各別答辯人的僱員、代理人及代表的作為可歸因於各別答辯人,而那些僱員、代理人、代表或分判商以R1-R6的名義進行的任何違反第一行為守則的行為,R1-R6須各別承擔法律責任。

47.  R1對其代表在有關安泰邨一期的反競爭行為沒有實際知悉。R1承認責任是基於在《條例》下,它是一個業務實體的一部分。

48.  R3的情況如下:

(1)  在過去的十多年,每當獲委派房委會的裝修工程時,張棉(R3的擁有人)會將所有相關事宜分配給一名稱周厚光(R3的代表)的人士處理。據此,在張棉簽署房委會的牌照文件後,亦將R3在安泰邨一期的所有事宜交給周厚光處理。

(2)  根據張棉和周厚光的協議,周厚光將會把在安泰邨一期所獲得的裝修工程純利和R3平分。截至2019年4月16日,周厚光根據這協議將大約$200,000給予R3。

(3)  在所有關鍵時刻,周厚光是經R3所授權以R3的名義在安泰邨一期招攬及進行所有裝修工程的人,但最終需要對住戶和房委會負責的人是R3。

49.  R4把其於安泰邨一期之承辦商身份之權益轉移給其分判商丘少鵬先生,雙方同意R4最終可獲港幣HK$200,000作為牌照佣金,而R4答辯人並不會参與安泰邨一期之工作安排。

50.  R5的情況如下:

(1)  在房委會指定承辦商制度下承辦的工程項目,不時會由R8管理。在安達邨一期,即競爭事務審裁處的執行訴訟2017年第2號所涉及的屋邨,R8亦曾擔任R5的負責人。

(2)  約於2017年5月,R8及R5的董事張潤錦 (R9) 同意R8代表R5管理安泰邨一期的工程。R8及R5同意平分承辦安泰邨工程所獲得的利潤。

51.  R6與R8協議,R6最終可獲港幣HK$201,600作為牌照佣金。其中HK$150,000已付,餘款仍未付。而R6並不會参與安泰邨一期之工作安排。

52.  R7的情況如下:

(1)  R7不時會承接獲委任指定承辦商的工程。在安達邨,即競爭事務審裁處的執行訴訟2017年第2號所涉及的屋邨,R7亦曾擔任永興聯合建築有限公司的分判商。今次R7與R1也是同意以3:7的比例攤分安泰邨一期的工程利潤的。

(2)  R7承認樓層編配安排及價格協調安排是他代表R1 所訂立的協議/經協調做法。

(3)  R7承認,他是《條例》第91(d)條所指,牽涉入違反第一行爲守則的人,因他:

(a) 實際知悉R1至R6之間的樓層編配安排及價格協調安排;及

(b) 向潛在顧客推銷R1的服務時,曾以駐邨經理的身份,指示R1的職員、代理及/或代表利用單張執行價格協調安排。

(4)  由於R7的行爲,以及其直接有份造成及參與違反第一行爲守則的行爲,R7就其參與R1至R6的反競爭行爲承認法律責任。

53.  R8的情況如下:

(1)  R8及R5同意平分承辦安泰邨工程所獲得的利潤。

(2)  R8以R6的名義代表承辦商於2017年11月13日與房委會補簽一份關於獲授權在安泰邨一期設立駐邨辦公室的暫准證,使承辦商以指定承辦商身份租用該駐邨辦公室經營業務。

(3)  R8承認他是《條例》第91(d)條所指牽涉入違反第一行爲守則的人,因他:

(a)  實際知悉R1至R6之間的樓層編配安排及價格協調安排;

(b)   代表R5及R6訂立樓層編配安排及價格協調安排的協議/經協調做法;

(c)   為R1至R6訂立套餐價的大約金額並印製單張;及

(d)   在管理R5及R6於安泰邨一期的工程時,指示R5及R6的職員、代理及/或代表利用單張執行價格協調安排。

(4)   由於R8的行爲,以及其直接有份造成及參與違反第一行爲守則的行爲,R8就其參與R1至R6的反競爭行爲承認法律責任。

54.  R9的情況如下:

(1)  R9於2017年6月23日簽署一份僱員紀錄概要。當時R9只在文件上簽署及蓋印,文件內容由R8其後填上,並將文件提交房委會。

(2)  在安泰邨一期的宣傳單張、名片和合約等文件上,皆印有R5的名字。雖然該些文件並非由R9直接提供,但R9理解R8會使用R5的名字在各文件上。

(3)  R9將安泰邨一期項目交予R8管理後,從未瞭解工程安排的細節。然而,R9同意R5作為房委會的指定承辦商,R5因此須要對R8及其於安泰邨一期工作的僱員的行為及相關工程項目負上最終責任。

(4)  R9本身並没有主動地參與上述嚴重反競爭行爲,但他同意,作為R5的董事,他須為R5及其代理人R8的行為負上法律責任。

(5)  R9在得悉R8在安達邨一期代表R5管理承辦工程項目可能涉及違反《條例》一事後,並沒有特別關注。在此之後,R9仍將安泰邨一期項目交予R8管理,但R9有提醒及監督R8不應涉及可能違法的行為。

E.  裁定

55.  在執行的程序中,競委會須在毫無合理疑點下證明違反《條例》的行爲: Competition Commission v W Hing Construction Co Ltd [2019] 3 HKLRD 46, §39.

56.  樓層編配安排及價格編配安排分別是爲供應服務而編配銷售、地域或市場的行爲,及訂定/控制服務的供應價格的行爲,屬於《條例》第2(1) 條所形容的嚴重反競爭行爲。承辦商不獨訂定也執行了兩個安排。而兩個安排的個別或共同目的也是爲求達到妨礙、限制或扭曲在香港的競爭。

57.  R1-R6是房委會直接制定的承辦商,無論他們是分判了工程(W Hing, §§319-323),或是如R1般沒有交代他人如何成爲他的代表,也聲稱對反競爭行爲沒有實際知識,R1-R6還是要爲以他們的名義進行的違反競爭法的行爲個別承擔責任。

58.  基於上文C部及D部的事實,本席在毫無合理疑點下裁定R1-R6違反第一行爲守則。

59.  R7和R8並非承辦商,但他們參與訂定與執行樓層編配安排及價格編配安排,也知道R1-R6的參與,R7的行爲導致R1,而R8的行爲導致R5及R6,違反第一行爲守則。基於上文C部及D部的事實,本席根據《條例》第91(d) 條,在毫無合理疑點下裁定R7和R8是牽涉入違反第一行為守則的人。

60.  R9是R5的董事,R5已被裁定違反第一行為守則。根據上文第54段R9所承認的行為,顯示他並沒有盡力履行作為董事的職責,沒有監管R5在安泰邨第一期的工程,以防止R5違反競爭法。而在安達邨工程可能違反競爭法時仍沒有防範,只給R8一個提醒不要違法並不足夠,R5在安泰邨第一期的工程重蹈覆轍。根據《條例》第102條,本席裁定R9並不適合關涉公司的管理,因此適宜就着第101條考慮發出取消資格令。

F.  命令

61.  競委會要求審裁處根據《條例》的附表3宣布答辯人違反第一行爲守則。審裁處若要作宣布,需要符合三個條件:

(1)  競委會作爲申請人有對於要宣布的事情內容有一個真正(而非抽象性或假設性)的利益。

(2)  申請人獲取一個宣布會帶來實質的利益。

(3)  與訟人是個恰當的反駁者。

審裁處必須考慮作出宣布會達到甚麽實質效益,才可行使酌情權作出宣布。(金光案,第36-38段)

62.  若作出宣布的請求是與訟雙方經協議下而作出的,審裁處必須謹慎,不可被協議取代審裁處的酌情權。另一方面,如果協議的條款是在審裁處的司法權限以内,而且沒有令人反對的理由,審裁處也不應拒絕批准該些條款。(金光案,第39段)

63.  應用金光第39段的原則,本席認爲適宜作出宣布,原因是答辯人承認了競委會很大部分賴以起訴的案情,省卻訴訟的時間與訟費。競委會對於要宣布的事情內容有實質的利益, 包括獲得審裁處裁定答辯人的行爲違反《條例》,從而對其他意圖違反的人帶來阻嚇的作用。裁定也容許受害人開展後續訴訟。而各答辯人是恰當的反駁者。作出宣布實在帶來許多實質的效益,因此本席因應第58及59段的裁定作出宣布。

64.  競委會要求審裁處宣布R9喪失董事資格。本席在此階段並不同意,因爲取消資格令須訂明年期: 《條例》第101條。在未聽取R9的求情以前,並不適宜單取消董事資格而不訂明年期。

65.  本席命令如下:

(1)  宣布R1-R6 違反第一行爲守則;

(2)  宣布R7是牽涉入違反第一行為守則的人;

(3)  宣布R8是牽涉入違反第一行為守則的人;

(4)  根據《條例》第102條,裁定R9並不適合關涉公司的管理;及

(5)  就着各答辯人的責任,批准競委會登錄判決。

66.  本案押後至 (1) 2020年10月20及23日及 (2) 12月2日舉行聆訊,前者以聽取及R2至R9就着適當的判罰或濟助而作的陳詞;後者則聽取競委會及R1的陳詞。

67.  訟費保留待決。

D E C I S I O N (NO. 2)

Introduction

1.  The Commission took out the present enforcement proceedings against R1-R6 for contravention of the First Conduct Rule (allocation arrangement and price coordination in the provision of renovation services in a public housing estate); against R7 and R8 for their involvement in the alleged contravention and against R9 for a disqualification order with costs.

2.  The Commission’s case, amongst others, is that R7 was acting on behalf of R1 as a responsible person for the business activities of R1 at that public housing estate (“OTE”)

3.  R1’s defence is that it had an agreement with one Madam Pau Wai Lin (“Pau”) (“the Pau Agreement”) whereby:

(1)  Pau was to undertake the decoration works at Blocks 1 and 2 of OTE (“the Works”) in place of R1.  Pau agreed not to be engaged in any price fixing arrangement with other contractors in undertaking the Works using the name of R1.

(2)  Pau shall be fully liable for all matters in respect of using the name of R1. She shall be fully entitled to any financial gain but liable for any financial loss arising from the Works. 

(3)  She shall fully indemnify R1 for any loss and liability arising from the Works.

(4)  She shall not assume the role of a sub-contractor in undertaking the Works.

4.  R1 claims that it had not authorized, permitted or consented to R7 undertaking the Works using the name of R1.  The husband and wife relationship between R7 and Pau was not known to R1 before the present proceedings.  Pau was responsible for all profit and loss in respect of the Works.  R1 had not received any money in respect of the Works.

5.  Save for a minor aspect that Mr WC Wong of R1 had attended the briefing session organized by the Housing Authority, the Commission does not challenge the existence of the Pau Agreement.

6.  This is R1’s application for one of the following orders, according to its sequence of preference:

(1)  that Pau do substitute R1 as a party to these proceedings (“substitution application”); or

(2)  that Pau be joined as a respondent (“joinder application”);

(3)  that there be leave to issue a third party notice to Pau (“third party application”).

7.  R1 claims to have no knowledge of the matters in respect of the Works.  Pau should be brought in to ensure that all matters in dispute in the cause or matter be effectually and completed determined and adjudicated upon.  Further, R1 intends to seek contribution and/or indemnity.  Pau should be bound by the judgment of the Tribunal to avoid any multiplicity of proceedings thereafter.  Without these third party proceedings, R1 will be left without redress against Pau.

8.  The Commission opposes these applications.  In particular, the Commission submits that R1 would not be left without recourse because R1 can commence a common law action against Pau provided that breach of the First Conduct Rule is not pleaded as a cause of action.

Legal principles on substitution and joinder

9.  Rule 22 the Competition Tribunal Rules (“the Rules”) governs the addition and substitution of parties.  It appears in Part 2 of the Rules which govern all proceedings before the Tribunal.  This means addition or substitution of parties are, in principle, applicable to enforcement proceedings.

10.  Rule 22(1) of the Rules provides that the Tribunal may, on application, permit another person to be joined in the proceedings, in addition to, or in substitution of any party to the proceedings.  Subject to this, Order 15 of the Rules of the High Court (“RHC”) applies.

11.  Order 15, rule 4(1) of the RHC provides that 2 or more persons may be joined together in one action as defendants with the leave of the court where if separate actions were brought against each of them, some common question of law or fact would arise in all the actions and all rights to relief are in respect of or arise out of the same transaction.

12.  Order 15, rule 6(2) of the RHC provides that at any stage of the proceedings, the Court may on such terms as it thinks fit order any person who has been improperly or unnecessarily made a party or who has for any reason ceased to be a proper or necessary party, to cease to be a party.  The Court may order any of the following persons to be added as a party:

(i)   Any person who ought to have been joined as a party or whose presence before the Court is necessary to ensure that all matters in dispute may be effectually and completely determined; or

(ii)  Any person between whom and any party to the cause or matter there may exist a question or issue arising out of or relating to or connected with any relief or remedy claimed which it would be just and convenient to determine as between him and that party and between the parties to the cause or matter.

13.  Examples of substitution of parties under Order 15 of the RHC include substitution of personal representatives for a deceased person, Committee for a mentally incapacitated person and a person who has subrogated rights for a party.

14.  In Yip Ching Tsz v East Week Publishing Ltd & ors, HCA 2586/2004, 29 April 2005, §17, a defamation action, DHCJ Saunders (as he then was) allowed the de facto printer of the publication to be substituted for the registered printer.

15.  In a joinder application,

(1)  Order 15 rule 6 of the RHC should be construed liberally so as to ensure that, as far as possible, all matters in dispute between the parties are completely and finally determined, and all multiplicity of legal proceedings with respect to any of those matters is avoided.

(2)  The test to apply in a joinder application is whether there is a bona fide claim and a proper question to be tried as between the plaintiff and the intended defendant that is necessary or just and convenient for resolution between them as well as between the plaintiff and the defendant in the proceedings.  At this stage, there is no requirement for an applicant to show merits of his case.

(3)  Further, the Court’s attitude to join parties is permissive, and its power to do so is a generous one and widely exercised.

(4)  When issues on whether to join a party or not are one of fact, adopting the same approach in a striking out application, the disputed facts on joinder are to be taken in favour of the party sought to be joined.

Advanced Connection Limited v Able Technology (Hong Kong) Limited & ors[2018] HKCFI 2465, §§18-21, 24, P Ng J approved by the CA in CAMP 11/2019, [2019] HKCA 1092, §14.

16.  In respect of Order 15, rule 6(2)(b) of the RHC, it has been held that when two parties are in dispute in an action at law, and the determination of that dispute will directly affect a third person in his legal rights or in his pocket, in that he will be bound to foot the bill, then the court in its discretion may allow him to be added as a party on such terms as it thinks fit. By so doing, the court achieves the object of the rule in enabling all matters in dispute to “be effectually and completely determined and adjudicated upon” between all those directly concerned in the outcome.  See Wong Shan Shan & anor v Incorporated Owners of Yue Wah Mansion (unreported, HCA 1086/2013, 28 January 2015), §13, DHCJ Yee, following Gurtner v Circuit [1968] 2 QB 587, 595 D-F.

17.  Even though generally a plaintiff is entitled to pursue his remedy against a chosen defendant and cannot be compelled to sue others, a person may be added as defendant against the wishes of the plaintiff either on the application of the defendant or on his own intervention or, in rare cases, on the court’s own motion: Chan Kon Fung v Gallop Pioneer Limited & Another[2018] HKCFI 766 at §§88 & 89, DHCJ Marlene Ng (as she then was).

Substitution application

18.  I do not consider substitution to be the proper option.

19.  Firstly, these are enforcement proceedings instituted by the Commission, which should not be conflated with private litigation. The prosecutorial prerogative lies with the Commission and not anyone else.  The Tribunal should not usurp the Commission’s powers to decide who to sue.

20.  Secondly, even accepting the Pau Agreement to be valid, the Commission still has a prima facie case against R1.

21.  In Competition Commission v W Hing Construction Co Ltd [2019] 3 HKLRD 46, R1 and R9 claimed that they had sub-contracted the decorations works in a housing estate to others.  It was the sub-contractors who breached the First Conduct Rule (“the sub-contractor defence”).  This defence was rejected by G Lam J who held, at §§322-323:

“322. It would simply be wishful thinking for the respondent to assume, as submitted by counsel, that it dropped “completely out of the picture” upon admitting a subcontractor to “take over” the works. As far as the outside world was concerned, the sub‑contractor never came into the picture and the respondent never went out of it.

323. It has been submitted on behalf of W Hing (R1) and Wide Project (R9) that it would be open to the Commission to bring proceedings against the sub‑contractors instead of against them.  In my judgment, while the sub‑contractor may well be liable for the infringing conduct as another person comprised in the same undertaking, this does not preclude the Commission from proceeding against the respondent who, on the above analysis, must be regarded as a person comprised in the undertaking in question and therefore liable for the contraventions of the first conduct rule.”

22.  Applying W Hing, the fact that Pau was in breach of the First Conduct Rule would not preclude the Commission from pursuing R1.  The Pau Agreement, even if accepted to be a genuine agreement, was a private matter between R1 and Pau.  It could not alter the position as far as the outside world was concerned.

23.  The fact that Pau was not a sub-contractor and R1 had not received license fees from her for using R1’s name would not undermine the principle in W Hing.

24.  Thirdly, to say that Pau should be substituted for R1 is tantamount to dismissing summarily the Commission’s case against R1. This can only be done with the Commission’s consent or where the facts are plain and obvious, which is not the case here.

25.  For the reasons given, I dismiss the substitution application.

Joinder application

26.  There could be various reasons why the Commission decided not to sue Pau.  There may be lack of evidence or, in exchange for Pau’s cooperation in an investigation, the Commission decided to enter into a leniency agreement with her under section 80(1) of the Competition Ordinance, Cap 619 (“the Ordinance”).  Under section 80(2), the Commission must not, while a leniency agreement is in force, bring enforcement proceedings, otherwise it will undermine the effectiveness of a leniency agreement. 

27.  Although the Commission does not suggest that there is a leniency agreement with Pau, I still do not think that the Tribunal should decide for the Commission whom to sue.

28.  The case of Advanced Connection v Able Technology on joinder of defendants can be distinguished as it is not an enforcement case but private litigation.

29.  R1’s concern as to R7’s admission is unwarranted.  The Tribunal imposes sanction on a respondent based on the facts as found against that respondent.  R7’s admission (unless admitted by R1) will not bind R1. 

30.  Further, R1 is at liberty to bring in matters concerning a non-party which may be in favour of R1’s mitigation.  In W Hing No. 2[2020] HKCT 1, §103, G Lam J took into account, amongst others, the sub-contractor defence and lack of participation of the respondent contractor in the works, and applied a 1/3 discount to the Base Amount of the fine:

“Turning to the matters put forward as mitigating circumstances, the 1st and 9th respondents submit that they did not directly participate in the conduct impugned, but that each of them became liable only as a result of letting their “licence” to a “subcontractor” who was found to have engaged in the infringing conduct.  The details of their arrangements with their respective “sub‑contractors” have been described in section H of the Judgment, where it was held that each of these two respondents formed an undertaking with its subcontractor in relation to the contravening conduct.  While the Base Amount, as explained above, is assessed with reference to the undertaking, the fact that the penalty is sought only against the respondent is a factor that can, in my view, be taken into account in its assessment.  In the circumstances of the present case, the association of the respondent and the subcontractor was an ad hoc, temporary one; they were not companies in a group or individuals in partnership.  There may or may not be some private arrangement between the respondent and the subcontractor on the responsibility for the consequences of these proceedings, but the issue has not been inquired into, and I do not think that it would be right or safe to assume the respondent would be able to recoup what it has to pay from the subcontractor.  I consider that to reflect their role as part only of the undertaking in question, there should be a reduction of the Base Amount by one‑third for the 1st and 9th respondents.”  (underline added)

31.  For the reasons given, I do not consider joinder of Pau as a respondent to be appropriate.

Legal principles on third party proceedings

32.  Under rule 23 of the Rules, a third party notice may be issued by a defendant against a person who is not already a party to the action where he wishes to make a claim under Order 16, rule 1 of the RHC.

33.  Order 16 rule 1(1) refers to:

(a)  Claims against the third party for contribution or indemnity;

(b)  Claims against the third party for any relief or remedy relating to or connected with the original subject matter of the action and substantially the same as some relief or remedy claimed by the plaintiff; and

(c)  Any question or issue relating to or connected with the original subject matter of the action that should be determined not only as between the plaintiff and the defendant but also as between either or both of them and the third party.

34.  As rule 23 appears in Part 2 of the Rules, in principle, third party proceedings are applicable to enforcement proceedings.

35.  A third-party notice is usually the proper course if the plaintiff seeks no relief against a defendant to be added: Hong Kong Civil Procedure 2020, Vol 1, §15/6/6.

36.  The practice is that if a prima facie case is made out which would bring the matter within Order 16 rule 1(1) of the RHC, leave will be granted to issue the notice.  In granting leave, the Court will not consider the merits of the claim, but will leave these matters and objections by the plaintiff to be dealt with upon the application for directions under Order 16 rule 4 of the RHC.  See Hong Kong Civil Procedure 2020, Vol 1, §16/2/5.

37.  In Wing Mou Construction Co Ltd (in Liquidation) v Cosmic Insurance Corporation Ltd (unreported, HCCT 40/2001, 20 June 2002), a third party was added to the action as a counter-party to an indemnity agreement.  Ma J (as he then was) held that (at §15):

(a)  Under Order 16 rule 4(4), the court allows a person who is already a third party to participate in the main action between the plaintiff and defendant, “on terms as may be just” or “as may be just”.  In this latter regard, a third party may even be permitted to defend the action against the plaintiff either alone or jointly with any defendant.

(b)  All persons who have a legitimate legal or financial interest in the outcome of the matter in dispute are relevant parties.  Thus, where the proprietary or pecuniary rights of a person are affected, this is enough.  A person may be a relevant party even though the plaintiff has no cause of action against him.

(c)  The court still retains a residual discretion to decide whether or not the order sought should be made.

Third party application

38.  R1 claims to have no knowledge of the matters in respect of the Works.  There may be dire consequences if Pau is not a party. According to R1, if it is found liable, the Tribunal will be in a position possessed with no factual finding on a non-party to adjudicate sanction although it was that non-party who undertook the Works.  The matter will be complicated by R7’s admission at the first instance.  Further, as no private action is available to R1, R1 would be left with no recourse against Pau.

39.  I approach this matter from 2 angles: (i) whether the conditions for joining a third party under Order 16, rule 1 are met; and (ii) whether R1 has redress against Pau outside these enforcement proceedings.

40.  With regard to the first angle, the Tribunal will be able to sanction R1 in the absence of Pau, as did G Lam J in W Hing No. 2 when he sanctioned the contractor in the absence of the sub-contractor.  R7’s admission will not bind R1.  However, there is a common issue of fact and of law on the role of R1, R7 and Pau in respect of the Works and whether any or all of them had breached the First Conduct Rule. This is relevant to R1’s extent of liability and may affect the financial sanction that may be imposed on R1.

41.  On the question of indemnity or contribution from Pau. I have considered the following authorities provided by the Commission and R1:

(1)  Safeway Stores Limited & ors v Twigger & ors [2010] EWCA CIV 1472, §29, Longmore LJ, which held that a corporation could not recover a financial penalty for breach of a conduct rule from its employees.

(2)  Andrew Coulson v Newsgroup Newspapers Limited [2011] EWHC 3482, §§4, 46-47, Supperstone J, which held that an agreement for D to pay the legal costs incurred by the claimant in defending criminal allegations was valid.  The case left open the issue as to the legality of the agreement.

(3)  Jetivia SA & anor v Bilta (UK) Limited (in liquidation) & ors [2015] UKSC 23, §§156-162, Supreme Court of UK, which disagreed with Longmore LJ’s reasoning in Safeway.

(4)  Les Laboratoires Servier & another v Apotex Inc & ors [2015] AC 430, §§28-29, 34, which held that “turpitude” would depend on the legal character of the acts relied on.  There may be exceptional cases where even criminal and quasi-criminal acts would not constitute turpitude, eg where liability was strict and the claimant was not aware of the facts making his act unlawful.

42.  R1 does have an arguable contract claim for seeking indemnity against Pau.  Whether the Pau Agreement is against public policy insofar as R1 seeks indemnity for the financial sanction imposed by the Tribunal is open to argument: §47, Coulson. 

43.  It is not necessary to decide the merits here. The conditions in Order 16, rule 1(1)(a) and (c) are met.  Pau, being the person who is at risk of having ultimately to pay the financial sanction as damages to R1, appears to have legitimate legal or financial interest in the outcome of these enforcement proceedings.  Bringing in Pau will avoid duplicity of proceedings and the risk of inconsistent finding on whether there was breach of the First Conduct Rule and who caused the breach. 

44.  With regard to the second angle, R1 submits that no private action is available to it since follow-on action is only available to other persons who wish to claim against R1 but not where R1 wishes to sue Pau.  If Pau is not added as a party now, there will be no determination as to whether she has contravened the First Conduct Rule on which to base a follow-on action.

45.  The Commission disagrees:

(1)  Insofar as the application is seeking the Tribunal’s determination of R1’s rights and obligations under the Pau Agreement, it is in the nature of a private action, the availability of which is circumscribed by Part 7 of the Ordinance, in particular section 110.

(2)  R1 does have redress against Pau under a common law action.  To say that R1 would have no recourse against her is premised on an incorrect understanding of the effect of section 108.

46.  To resolve the issue, one has to look at Part 7 of the Ordinance, which is the only part that deals with and sets out all the provisions concerning litigants other than the Commission: Taching Petroleum Co Ltd v Meyer Aluminium Ltd[2020] HKCT 2, Au-Yeung J, at §§219(2)-(3).

47.  Under section 108, no person may bring any proceedings independently of this Ordinance in any court in Hong Kong, if the cause of action or any of the causes of action is the defendant’s contravention, or involvement in a contravention, of a conduct rule.

48.  Under section 109, no person may bring any proceedings in the Court of First Instance under this Part if the cause of action is the defendant’s contravention, or involvement in a contravention, of a conduct rule.

49.  Under section 110, which governs follow-on action:

“(1) A person who has suffered loss or damage as a result of any act that has been determined to be a contravention of a conduct rule has a right of action under this section against –

(a) any person who has contravened or is contravening the rule; and

(b) any person who is, or has been, involved in that contravention.

(2) Subject to section 113, a claim to which this section applies may only be made in proceedings brought in the Tribunal, whether or not the cause of action is solely the defendant’s contravention, or involvement in a contravention, of a conduct rule.

(3) For the purpose of subsection (1), an act is taken to have been determined to be a contravention of a conduct rule if –

(a) the Tribunal has made a decision that the act is a contravention of a conduct rule;

…”

50.  Under section 111, a follow-on action can be brought within 3 years of the decision of the Tribunal or disposal of an appeal or final appeal.

51.  Under section 119(2), an earlier decision of the Tribunal that the act in question is a contravention or involvement in a contravention of the conduct rule is binding on the Court of First Instance or the Tribunal (as the case may be) in the follow-on action.

52.  Under section 142:

“(1) The Tribunal has jurisdiction to hear and determine—

(a) applicationsmade by the Commission with regard to alleged contraventions, or alleged involvements in contraventions, of the competition rules;

(b) applications for the review of reviewable determinations;

(c) privateactions in respect of contraventions, or involvements in contraventions, of the conduct rules;

(d) allegations of contraventions, or involvements in contraventions, of the conduct rules raised as a defence;

(e) applications for the disposal of property;

(f) applications for the enforcement of commitments; and

(g) any matter related to a matter referred to in paragraph (a), (b), (c), (d), (e) or (f) if the matters arise out of the same or substantially the same facts.

(2)  In the exercise of its jurisdiction, the Tribunal has the same jurisdiction to grant remedies and reliefs, equitable or legal, as the Court of First Instance.”

53.  Mr Jonathan Wong, counsel for the Commission, submits that R1 can invoke section 108, which does not restrict the bringing of a common law claim where contravention of a conduct rule under the Ordinance is not pleaded as a cause of action.  This is so “even if the facts of the claim may support a finding of contravention of a conduct rule, as long as the contravention of a conduct rule is not pleaded as a cause of action in such claim” See Butterworths Note 108.02 citing Report of the Bills Committee on Competition Bill of 23 May 2012 §§154 and 155.

54.  By way of example, R1 can have a contract claim based on Pau’s breach of the Pau Agreement and seek a declaration that the Pau Agreement is in existence and that Pau is entitled to be indemnified by R1.  If Pau raises a defence that involves competition issues, the defence can be transferred to the Tribunal and adjudicated under section 113 of the Ordinance.

55.  With respect, I doubt the utility of a general declaration of indemnity (as opposed to an order to indemnify for a sum certain) to R1.

56.  The phrase “cause of action” denotes every material fact which R1 must prove to obtain from the Tribunal a remedy against another person: Hong Kong Civil Procedure 2020, Vol 1, §15/1/2, citing Read v Brown (1888) 22 QBD 128, Lord Esher MR, at 131; Letang v Cooper [1965] 1 QB 232, at 242, Diplock LJ.  To allege breach of the Pau Agreement, arguably a material fact that R1 may have to plead is Pau’s contravention of the First Conduct Rule which gave rise to damage to R1.  Pau may raise a defence involving competition law.  Chances are that a substantial part of R1’s (and probably R7’s) breach of the First Conduct Rule will have to be proved.  Duplication of proceedings is a risk in R1’s potential contract claim.

57.  Accordingly, the effects of sections 108-111, 119(2) and 142, as applied to the present proceedings are, arguably, that:

(1)  Before judgment in the present enforcement proceedings, a major part of “damages” suffered by R1 (in the form of financial sanction) is unknown.  R1 does not have a cause of action for breach of the Pau Agreement at common law unless he pleads breach of the First Conduct Rule.  That will be in the nature of a private action involving competition issues, which is not permitted by section 108 of the Ordinance. 

(2)  Even after the Tribunal has given final judgment in these enforcement proceedings, R1 cannot bring a follow-on action against Pau because there will be no finding of contravention of the First Conduct Rule against Pau or any finding that will bind her. 

58.  The situation is more in line with paragraph 35 above where R1 seeks no relief independent of the enforcement action.  It is best to give leave to join Pau as a third party so that findings of the Tribunal in this case will bind her.  This will also avoid R1 being left without redress against her.

59.  If Pau becomes a third party, the Tribunal does have jurisdiction to hear the matter under section 142(1)(g) of the Ordinance, it being a matter related to the enforcement action described in section 142(1)(a).

Conclusion

60.  The substitution of Pau for R1 is unwarranted as impinging on the prosecutorial prerogative of the Commission and involving summary dismissal of the Commission’s case against R1.  Addition of Pau as a party likewise impinges on the prosecutorial prerogative of the Commission.  It is arguable that there is no avenue for R1 to seek redress against Pau at common law both before and after judgment in these enforcement proceedings as there will be no finding of contravention of breach of the First Conduct Rule against her.  Third party proceedings are best for R1 to seek indemnity and contribution from Pau.

61.  I therefore dismiss the application for substitution and addition of parties but give leave to issue third party proceedings as per paragraph 2 of the summons dated 20 February 2020.

62.  I order costs of this application to be reserved.

Introduction

1.  The Commission took out the present enforcement proceedings against R1-R6 for contravention of the First Conduct Rule (market sharing and price fixing in provision of renovation services in a public housing estate) under section 6 of the Competition Ordinance, Cap 619 (“the Ordinance”); against R7 and R8 for their involvement in the alleged contravention for the purpose of section 91 of the Ordinance and against R9 for a disqualification order with costs.

2.  R4, 6 and 7 indicated that they would admit liability.  R2, 3, 8 and 9, acting in person, indicated that they would admit liability although their defence indicated dispute of facts pleaded by the Commission.  R5 did not file a defence.

3.  At the CMC held on 19 November 2019, at the invitation of the Commission, the Tribunal indicated that, before trial of the Respondents who contested liability (“contesting Respondents”), it would deal with sanctioning of those Respondents who admitted liability (“admitting Respondents”) using a procedure similar to the Carecraft procedure under company law. 

4.  R1 (who does not admit liability) objected to the same judge dealing with both categories of Respondents (“R1’s Objection”). The concern was to prevent the Tribunal from being prejudiced by the admission of liability by and sanctions imposed on the admitting Respondents.

5.  Despite R1’s Objection, the Tribunal pencil-marked the date of 28 February 2020 for hearing the admitting Respondents.  (That hearing could not be proceeded with due to the General Adjournment Period of the Court.)

6.  R1’s Objection was adjourned for argument to 26 June 2020.  Meanwhile, on 3 June 2020, Harris J in CTEA 1/2018 ruled that the Carecraft procedure would be adopted for sanctioning the admitting respondents in his case and the same judge will deal with the trial of contesting respondents.  As of this hearing, Harris J has not yet handed down his reasons for decision.

7.  Upon learning of Harris J’s decision, R1 withdrew its submission on R1’s Objection.

8.  Costs in respect of R1’s Objection should, as a matter of principle, follow the event and be to the Commission and other Respondents.  However, R1 submits that there should be no order as to costs or that costs should be in the cause.

R1’s grounds for objecting to costs

9.  The grounds relied on by R1 are that R1’s Objection was neither an application of any sort nor an objection per se. Effectively, R1 is saying that it was merely assisting the Tribunal on a novel procedural issue as directed by this Tribunal on 12 December 2019 (“the directions letter”).  The Commission itself did not expressly refer to or endorse the Carecraft procedure in its own policy.  In its letter dated 14 February 2020, §8, the Commission did not take a firm contrarian position on R1’s Objection.

Ruling

10.  I am not persuaded by R1’s arguments. Competition law is new to Hong Kong.  Many issues are novel.  Novelty is not a reason to spare a party from having to pay costs.

11.  It was R1 who raised R1’s Objection, which was not supported by any other party.  All the admitting Respondents had wanted to proceed quickly with the hearing for sanction.  The directions letter set out the Tribunal’s view on the suitability of having the same judge handle both categories of Respondents and adoption of the Carecraft procedure.  The Tribunal stated clearly that if any Respondent disagreed to such procedure and had legal basis, that Respondent could write to the Tribunal. That was what R1 did.  It wrote a letter dated 30 December 2019, accompanied by a full lever arch file of authorities.  R1 invited the Tribunal (i) to be slow in adopting the Carecraft procedure; (ii) to consider that it is not bound to make a collective decision on all admitting Respondents; and (iii) to consider if it would be appropriate to deal with the sanctions of the admitting Respondents until after trial of the contesting Respondents.  It triggered a lengthy submission from the Commission.

12.  Having withdrawn the submission, I fail to see why R1 should not bear costs.

Quantum of costs

13.  The amount of $397,150 charged for arguing a procedural issue on R1’s Objection is excessive especially when counsel has been retained.  I reduce the amount to $200,000.

14.  R4, 6 and 7 (admitting Respondents) had been involuntarily drawn into R1’s Objection.  They, however, remained neutral.  It was justified for them to engage counsel given the legal arguments advanced by R1.  The legal team had to hold separate conferences with R4, 6 and 7 but it was fairly conceded that costs on perusal of documents and submissions could be shared.  I summarily assess their costs and allow an amount of $90,000.

15.  For the other Respondents who acted in person, they were also involuntarily dragged in. They had not advanced any legal arguments.  They will only be awarded the costs of one attendance related to R1’s Objection.  I order R1 to pay each of R2, R3, R8 and R9 an amount of $200 as costs.

16.  In conclusion, I make an order for costs against R1 for the amounts stated in paragraphs 13-15.
